Position Summary
The Director/Senior Director of Finance / Controller will be a key member of the finance leadership team, responsible for building and running the company's accounting close, technical accounting positions, and SEC reporting infrastructure. This role will serve as the primary liaison with external auditors (including PCAOB-registered firms) and outside SEC counsel, and will be instrumental in IPO readiness workstreams including internal controls (SOX), audit committee support, and public-company reporting cadence.
Key Responsibilities
Technical Accounting & Financial Reporting
- Own US GAAP technical accounting positions and memos, including revenue recognition, R&D/collaboration and licensing arrangements, stock-based compensation, and complex equity/debt instruments common in biotech financings
- Lead preparation of financial statements in accordance with US GAAP and SEC requirements
- Manage and continuously improve the monthly/quarterly close process, ensuring accuracy, timeliness, and audit-readiness
SEC Reporting & IPO Readiness
- Lead preparation of SEC filings including S-1 (and subsequent amendments), 10-K, 10-Q, 8-K, and proxy materials post-IPO
- Partner with legal counsel, investment bankers, and auditors on registration statement drafting, comment letter responses, and SEC review process
- Build out and document internal controls over financial reporting (ICFR) in anticipation of SOX 404 compliance
- Support drafting of MD&A, financial statement footnotes, and non-GAAP reconciliations
- Serve as primary day-to-day liaison with the company's PCAOB-registered independent auditor, managing the annual audit and interim reviews
- Proactively identify and resolve complex accounting issues ahead of audit fieldwork; prepare technical position papers for auditor review
- Support Audit Committee reporting and materials
- Coordinate any historical audit matters relevant to registration (e.g., re-audits, PCAOB-compliance considerations for prior periods)
Team & Process Build-Out
- Design and scale accounting policies, procedures, and the chart of accounts appropriate for a public biotech company
- Evaluate and implement accounting systems/ERP suited to public-company reporting needs
- Build, mentor, and eventually manage an accounting team as the company scales post-IPO
Qualifications
Required
- Active US CPA license
- 10+ years progressive accounting experience, including a mix of public accounting (Big 4 or national firm strongly preferred) and industry
- Direct experience in the biotechnology or life sciences industry (pre-commercial/clinical-stage strongly preferred)
- Hands-on experience with an S-1 registration process and/or public company SEC reporting (10-K/10-Q)
- Deep working knowledge of US GAAP as applied to biotech: revenue recognition, R&D expense, collaboration/licensing accounting, stock compensation, and complex financing instruments
- Experience directly managing relationships with PCAOB-registered audit firms
- Strong understanding of internal controls / SOX readiness
Preferred
- Experience with an IPO, de-SPAC, or direct listing transaction from the finance/accounting side
- Experience implementing or upgrading ERP/reporting systems in a scaling environment
- Prior experience working alongside investment bankers and outside SEC/capital markets counsel
