Job description

Here at Stonewater, we are seeking an agile Director of Governance, internally known as Company Secretary, reporting to the CFO.

Role Responsibilities:
  1. Oversee governance, strategy, and assurance frameworks to meet legal and regulatory requirements, supporting:
  • The board's annual statement of legal and regulatory compliance.
  • The Chief Executive's annual business planning, risk, and internal controls assurance statement to the board.
  • Support and advise the board chair and non-executives, ensuring access to necessary information, learning, and resources.
  • Manage Stonewater’s risk framework, ensuring risks are identified, managed, and operations stay within the risk appetite set by the board, complying with regulatory expectations.
  • Monitor environmental changes impacting strategic delivery and escalate risks appropriately, contributing as a senior leadership team member.
  • Prepare and present board reports, ensuring regulatory and charitable obligations are met.
  • Oversee Data Protection and DPO responsibilities, including insurance procurement and returns.
  • Candidate Requirements:
    • Ideally hold Chartered Secretary status.
    • Educated to degree level or equivalent experience.
    • Senior company secretarial experience, preferably in a regulated sector.
    • Knowledge of community benefit, company, and charity law, and regulatory requirements for various organizational types.
    • Experience in strategic planning and performance management.
    • Ability to work effectively in a complex, remote environment.
    • Strong leadership and succession planning skills.
    • Professional, calm demeanor with effective communication skills.
    • Strong ethical values and confidence to uphold legality and probity.
