Summary

The Director of Contracts provides enterprise leadership for the administration, interpretation, negotiation, and governance of Loyal Source's government and commercial contracts. The Director leads the Contracts Department and oversees the contract lifecycle from solicitation and proposal support through award, performance, modification, renewal, dispute support, and closeout. This role serves as a senior business partner to Executive Leadership, Legal, Finance, Pricing, Growth, Program Management, Compliance, Human Resources, Information Technology, Security, Quality, and other operational functions. The Director translates complex contractual requirements into practical guidance, identifies and communicates material risk, supports strategic decision-making, and promotes consistent contracting practices across the organization.

Duties and Functions
Contract Leadership and Governance
  • Lead the Contracts Department, establish priorities, allocate resources, and maintain accountability for the quality and timeliness of contract-management activities.
  • Direct the administration and governance of government and commercial agreements, including prime contracts, subcontracts, task orders, purchase agreements, teaming agreements, nondisclosure agreements, and other contractual instruments.
  • Establish and maintain scalable policies, procedures, controls, templates, systems, and approval processes governing the contract lifecycle and delegated authority.
  • Maintain accurate, complete, timely, and audit-ready contract files, obligation matrices, deliverables calendars, renewal schedules, and management reporting.
  • Evaluate contract-management processes and implement improvements that strengthen compliance, efficiency, visibility, and business performance.
Government Contracting
  • Provide guidance concerning the Federal Acquisition Regulation (FAR), applicable agency supplements, solicitation requirements, contract clauses, representations and certifications, and other government- contracting requirements.
  • Oversee review and administration of solicitations, proposals, awards, task orders, modifications, option exercises, funding actions, deliverables, and closeouts.
  • Advise business leaders regarding scope, changes, authorization, funding, performance requirements, data rights, security, privacy, labor requirements, reporting obligations, and termination provisions.
  • Identify and accelerate potentially out-of-scope work, constructive changes, unauthorized commitments, funding limitations, and other material performance or compliance risks.
  • Coordinate requests for equitable adjustment, claims support, cure-notice and show-cause responses, letters of concern, post-award debriefing materials, and other formal contract communications.
Commercial Contracting
  • Lead or oversee the drafting, review, negotiation, and administration of complex commercial agreements.
  • Evaluate and negotiate terms involving pricing, payment, scope, service levels, warranties, indemnification, insurance, limitations of liability, confidentiality, data protection, intellectual property, audit rights, compliance, disputes, and termination.
  • Develop and maintain commercial contracting templates, negotiation guidance, fallback positions, and escalation protocols in coordination with Legal and business leadership.
  • Negotiate and approve contractual positions within delegated authority and ensure that commitments outside that authority receive appropriate review and approval.
Strategic Advice and Cross-Functional Partnership
  • Provide clear, timely, and practical advice to senior leaders regarding contractual rights, obligations, risks, and available courses of action.
  • Exercise substantial discretion and independent judgment concerning significant contractual, financial, compliance, and business-risk matters.
  • Prepare executive summaries, contract briefs, risk assessments, decision memoranda, and negotiation strategies.
  • Coordinate with Legal on matters requiring legal advice, privilege, dispute strategy, regulatory interpretation, investigations, or litigation support.
  • Partner with Growth, Capture, Pricing, Finance, and Operations during bid and proposal activities to evaluate requirements, assumptions, exceptions, risks, and negotiation positions.
  • Build productive relationships with customers, contracting officials, business partners, subcontractors, vendors, and internal stakeholders.
People Leadership
  • Manage, mentor, and develop contracts personnel; establish clear roles, priorities, performance expectations, and accountability.
  • Direct work, evaluate performance, support hiring and development decisions, and make or materially influence appropriate personnel recommendations.
  • Foster a collaborative, service-oriented, and compliance-focused culture and provide practical contracting training to business teams.
  • Develop succession plans and professional development opportunities for contracts personnel.
Education and Experience (Required)
  • Bachelor's degree in business, finance, accounting, supply chain, procurement, legal studies, public administration, or a related field, or an equivalent combination of education, professional training, and directly relevant experience.
  • Generally, twelve or more years of progressively responsible experience in government contracts, commercial contracts, acquisition, procurement, or a related discipline, including substantial contracts leadership responsibility.
  • Significant experience with both government and commercial contracting and with the full contract lifecycle.
  • Advanced working knowledge of the FAR and applicable agency supplements, with the ability to identify, research, and coordinate specialized requirements with appropriate subject‑matter experts.
  • Experience advising executives and cross‑functional leaders regarding material contractual and business risks.
  • Experience developing and implementing contract‑management policies, procedures, controls, and governance practices in a large, complex, multi‑entity, regulated, or geographically dispersed organization.
Preferred Requirements
  • Master of Business Administration, Juris Doctor, or other relevant advanced degree.
  • Certified Professional Contracts Manager (CPCM), Certified Federal Contracts Manager (CFCM), Certified Commercial Contracts Manager (CCCM), or comparable credential.
  • Experience in healthcare, defense, staffing, logistics, professional services, or another regulated government‑services industry.
  • Experience administering indefinite‑delivery contracts, task‑order contracts, multiple‑award contracts, government schedules, and complex subcontracting arrangements.
  • Experience supporting corporate transactions, integrations, enterprise‑system implementations, audits, investigations, or significant organizational growth.
Knowledge/Skills/Abilities (KSA)
  • Advanced knowledge of government and commercial contracting principles, regulations, practices, and risk‑management concepts.
  • Strong contract drafting, interpretation, negotiation, analytical, and problem‑solving skills.
  • Excellent interpersonal skills and the ability to establish credibility with executives, customers, contracting officials, operational leaders, and contracts personnel.
  • Excellent written and verbal communication skills, including the ability to present complex matters clearly and concisely to senior decision‑makers.
  • Exceptional organizational skills, attention to detail, follow‑through, and ability to manage multiple high‑priority matters and competing deadlines.
  • Sound business judgment and the ability to balance risk mitigation with operational and commercial objectives.
  • Ability to handle confidential, privileged, proprietary, and sensitive information appropriately.
  • Proficiency with Microsoft Office applications and contract‑lifecycle, document‑management, reporting, and enterprise systems.
Supervisory Responsibilities

The Director is responsible for the overall leadership, performance, and strategic direction of the Company's Contract Administration, Purchasing, Logistics, Subcontract Management, State and Local Licensing, and Facilities Lease Administration functions. The position exercises substantial independent judgment regarding organizational priorities, resource allocation, personnel management, operational risk, and departmental performance.

  • Directly supervises and develops the leaders responsible for Contract Administration, Purchasing, Logistics, Subcontract Management, State and Local Licensing, and Facilities Lease Administration.
  • Establishes departmental priorities, performance expectations, and accountability standards across all assigned functions.
  • Responsible for organizational planning, leadership development, succession planning, and workforce management within the department.
  • Exercises authority over department performance management, promotion recommendations, corrective action, and other personnel matters consistent with Company policy and delegated authority.
  • Serves as the senior escalation point for significant operational, compliance, contractual, procurement, and facilities‑administration matters.
Work Environment/Condition
  • This position is assigned to Loyal Source's Orlando, Florida office and requires on‑site work in accordance with the schedule established by the Company. Candidates must reside in, or be willing to relocate to, the Orlando area.
  • Due to the seniority and responsibilities of the position, occasional availability outside regular business hours may be required to address time‑sensitive contractual, customer, proposal, compliance, or operational matters.
  • Occasional travel may be required based on customer, program, transaction, or business needs.
Physical Demands

The position routinely requires prolonged computer use; reading and preparing detailed electronic documents; participation in in‑person and virtual meetings; and verbal and written communication with internal and external stakeholders. The position may involve occasional travel and movement within an office or customer location.
