Job summary

Brookfield seeks a Director to join its Capital Solutions team in New York City. You will report to the Head of Legal for Brookfield Credit and work from Brookfield Place, integrating with Portfolio Management, Syndication, Risk Management, and Finance.

You will advise on syndicated securities, debt and equity facilities, and internal governance while coordinating with external counsel and investment banks to support Brookfield issuers and funds.

Qualifications

• New York bar admission.
• Minimum of 4 years’ experience at a major law firm and/or investment bank or broker dealer focusing on syndicated securities transactions and/or structured finance.
• Familiarity with 144a and 4(a)(2) transactions is preferred.
• Strong working knowledge of U.S. securities laws and SEC and FINRA regulations, in particular relating to broker dealers.

Responsibilities

• Lead attorney in supporting Brookfield’s capital solutions business including review and negotiation of commitment letters, underwriter agreements and related documents.
• Provide strategic legal advice on syndication of debt and equity securities and structuring of credit facilities.
• Assist with internal approvals and assess conflicts of interest.
• Provide securities law guidance with respect to underwriting in syndicated transactions under applicable FINRA regulations.
