Join a leading manufacturing company as their Deputy General Counsel, responsible for legal and compliance functions, corporate governance, risk management, and advising executive leadership. Be a key business partner to senior management and guide legal matters across all subsidiaries and jurisdictions. This is a direct hire opportunity with an in office requirement in Southeast Houston, Texas.

A publicly traded technology innovator that designs, develops and manufactures advanced energy storage solutions. By integrating the entire process from raw material sourcing to final system assembly, the organization has developed a diverse family of products covering a broad spectrum of market applications across multiple industries.

Your Role:

Direct comprehensive legal operations across all business functions, encompassing commercial agreements, corporate governance, securities compliance, regulatory matters, intellectual property protection, employment law, and litigation oversight.

Provide strategic legal counsel to executive leadership on business initiatives, transactional opportunities, and enterprise risk assessment.

Support the Corporate Secretary function through governance advisory services, regulatory disclosure management, and fiduciary duty guidance.

Design, implement, and refine legal and compliance frameworks to ensure organization-wide risk management and regulatory adherence.

Transaction Management & Contract Leadership:

Lead the structuring, negotiation, and documentation of complex business agreements, including strategic partnerships, licensing arrangements, technology collaborations, supply agreements, and merger & acquisition activities.

Oversee enterprise contract management processes and maintain standardized agreement templates with appropriate authorization protocols.

Regulatory Compliance & Public Company Obligations:

Maintain compliance with federal securities regulations, exchange requirements, internal controls frameworks, trade regulations, and international commerce laws.

Coordinate public company reporting obligations with investor relations and finance teams to ensure accurate and timely disclosures.

Develop and oversee corporate ethics programs, compliance training initiatives, and reporting mechanisms.

Dispute Resolution & Legal Risk Management:

Manage all current and potential legal disputes, claims, and litigation matters affecting the organization.

Partner with external legal counsel to ensure effective case management while optimizing legal expenditures.

Stakeholder Collaboration & Global Coordination:

Partner with cross-functional teams including Engineering, Operations, Research & Development, Human Resources, and Finance to deliver integrated legal support.

Foster relationships with international business units to ensure consistent legal standards and corporate governance across all operating jurisdictions.

External Legal Resources Management:

Identify, engage, and oversee external legal counsel to deliver specialized expertise and cost-effective legal services.

Direct outside counsel activities across litigation, intellectual property strategy, regulatory submissions, and international legal matters.

J.D. from an accredited law school.

13-15+ years of experience, including a combination of law firm and in-house corporate legal department experience.

7+ years in publicly traded companies functioning in similar role.

Licensed and in good standing with at least one U.S. state bar. Texas highly preferred or eligibility for admission.

Proven expertise in corporate, commercial, and regulatory law; experience in energy, manufacturing, or related sectors strongly preferred.

Demonstrated experience managing legal aspects of public company obligations, SEC compliance, and international transactions.

High level of business acumen, strong negotiation skills, and ability to handle complex cross-functional initiatives with minimal supervision.

Strong interpersonal and communication skills; ability to influence and collaborate across levels and functions.

Experience leading legal compliance and policy development in a global organization.

Demonstrated hands-on leader who is comfortable drafting documents, handling day-to-day legal tasks, and operating without reliance on a large legal team.

Resilient, adaptable, and solution-oriented with the agility to support a fast-paced, entrepreneurial environment.
