The successful candidate will work with practice chairs, CFOs, and leadership to support governance, contract drafting, and regulatory alignment in a multi‑entity healthcare environment.

Qualifications

  • J.D. from an ABA-accredited law school is required.
  • Active license to practice law in New York State and in good standing with the NYS Bar.
  • Minimum five (5) years of health law experience representing physicians, group practices, hospitals, or related healthcare providers.

Responsibilities

  • Draft, review, and negotiate physician employment agreements, independent contractor agreements, recruitment agreements, and non-compete/non-solicitation covenants.
  • Negotiate and draft complex hospital administrative agreements, clinical services agreements, medical director agreements, and PSAs.
  • Draft, review, and negotiate commercial real estate leases, equipment leases, vendor agreements, software/IT licenses, and NDAs.
  • Assist in due diligence, structure and review joint ventures, and MSO service agreements.
  • Oversee board administration, governance materials, and minutes.

Deputy Counsel

Position Summary

UB Associates is the Management Services Organization (MSO) providing comprehensive administrative, business, and operational support to the 17 separate medical specialty and subspecialty corporations that make up the UBMD Physicians Group. Each of these 17 corporations is organized as a New York University Faculty Practice Corporation pursuant to New York Not-for-Profit Corporation Law Section 1412.

The Deputy Counsel will provide high-level legal oversight, transactional expertise, and corporate governance support to the MSO and its 17 affiliated corporations. Reporting directly to the General Counsel, this individual will play a critical role in managing risk, ensuring regulatory compliance, executing complex healthcare and commercial transactions, and administering board operations. In addition to the General Counsel and legal team, the Deputy Counsel will work with practice chairs, CFOs and their teams in successfully completed projects as needed by the corporations.

Key Responsibilities
Contract Drafting & Transactional Management
  • Physician Contracting: Draft, review, and negotiate physician employment agreements, independent contractor agreements, recruitment agreements, and non-compete/non-solicitation covenants.
  • Institutional Agreements: Negotiate and draft complex hospital administrative agreements, clinical services agreements, medical director agreements, and professional service arrangements (PSAs).
  • Commercial Transactions: Draft, review, and negotiate commercial real estate leases, equipment leases, vendor agreements, software/IT licenses, and non-disclosure agreements.
  • Joint Ventures: Assist the General Counsel in conducting due diligence, structuring and reviewing joint ventures, corporate collaborations, and MSO service agreements.
Corporate Governance & Board Administration
  • Board Operations: Manage the administrative and governance needs of the UB Associates Board of Directors and the Faculty Practice Governing Board.
  • Meeting Management: Coordinate, schedule, and prepare agendas for regular and annual meetings of the boards and relevant committees.Corporate Records: Attend board meetings and serve as the primary individual responsible for drafting, finalizing, and maintaining official board minutes and resolutions.
  • Board Communications: Act as a key liaison for board communications, distributing meeting materials, governance updates, and legal notices across all 17 corporate entities.
  • Regulatory Alignment: Ensure all corporate actions align with the statutory requirements of NY N-PCL § 1412 and Article XVI of the State University of New York Policies of the Board of Trustees.
  • Obtain and maintain necessary dbas and service marks.
Healthcare Regulatory & Compliance (Added Standard Duties)
  • Regulatory Oversight: Provide legal counsel regarding compliance with federal and state healthcare laws, including the Stark Law, Anti-Kickback Statute (AKS), Civil Monetary Penalties Law, and False Claims Act.
  • Corporate Practice of Medicine: Monitor and maintain compliance with New York State regulations regarding the corporate practice of medicine and fee-splitting prohibitions.
  • Privacy & Security: Advise on HIPAA, HITECH, and state patient data privacy regulations, including managing potential data breach responses and business associate agreements (BAAs).
  • Compliance Support: Collaborate with the Compliance Officer to review internal policies, conduct risk assessments, and investigate compliance disclosures.
Risk Management & General Operations
  • Clinical Operations Support: Advise leadership on patient care issues, informed consent, medical records retention, and state-specific disclosure laws.
  • Dispute Resolution: Evaluate and manage pre-litigation commercial and employment disputes, coordinating with outside counsel when formal litigation arises.
Other Duties:
  • Perform other legal, administrative, or operational duties as assigned by the General Counsel or executive leadership.
Requirements
  • Education: Juris Doctor (J.D.) degree from an ABA-accredited law school.
  • Licensure: Active license to practice law in the State of New York and in good standing with the NYS Bar.
  • Experience: A minimum of five (5) years of dedicated experience in health law, specifically representing physicians, group practices, hospitals, or other healthcare provider organizations.
Preferred Qualifications
  • Familiarity with New York Not-for-Profit Corporation Law.
  • Strong transactional background with sharp negotiation skills in hospital-physician alignments.
  • Exceptional written and verbal communication skills, with the ability to translate complex legal concepts for clinical and administrative leaders.
  • Proven track record of managing corporate governance and board relations for multi-entity systems.
