We are seeking a Junior Partner to join our Debt Finance Practice. This role is ideal for an experienced finance attorney with a strong background in commercial lending transactions and a demonstrated track record of client advising, matter leadership, and business development. The candidate should have substantial experience representing lenders and/or borrowers in complex debt financing transactions, including senior secured lending, mezzanine financings, acquisition financings, refinancings, and related financing matters. The ideal candidate will have a demonstrated track record of advising clients, leading sophisticated financing transactions, managing client relationships, and contributing to business development efforts.
Key Responsibilities:
- Lead and oversee financing transactions from structuring through closing, including senior secured financing transactions, mezzanine financings, acquisition financings, refinancings and recapitalizations, syndicated and bilateral credit facilities
- Serve as strategic advisor to clients on financing structures, risk allocation, and negotiated positions
- Draft, review, and negotiate principal financing documents, including:
- credit and loan agreements
- note purchase agreements
- security agreements
- intercreditor agreements
- guarantees and related ancillary documents
- Advise clients on lending structures, including secured facilities, collateral packages, perfection issues, and intercreditor arrangements
- Provide guidance on mezzanine, second-lien, subordinated debt structures, and related financing arrangements
- Oversee transaction execution, including due diligence, conditions precedent, closing deliverables, and post-closing requirements
- Work closely with clients, opposing counsel, local counsel, and internal teams to ensure efficient transaction execution
- Mentor and supervise associates and paralegals and contribute to internal training and professional development initiatives
- Contribute to business development efforts, including building and maintaining client relationships, and identifying growth opportunities
Skills & Qualifications:
- JD from an ABA-accredited law school
- 7+ years of finance experience at a law firm and/or in-house
- Strong experience with senior secured and mezzanine finance transactions, fund finance experience a plus
- Deep substantive understanding of loan documentation (including security and guaranty provisions and perfection requirements), the UCC, and collateral structures
- Proven ability to lead complex transactions and oversee teams effectively
- Strong client management and relationship-building skills
- Demonstrated business development capability and interest in growing a practice
- Excellent drafting, negotiation, and project management skills
- Ability to manage complex transactions and multiple deadlines with minimal supervision
- Strong communication skills and a client-service-oriented approach
- Team-oriented with a proactive and solutions-driven mindset
Finn Dixon is based in Stamford, Connecticut and currently maintains a hybrid work environment with candidates generally expected to be in office at least 2 days per week.
