Counsel, Technology and Managed Services
Location: Anywhere in Country.
Join EY’s General Counsel’s Office (GCO) to provide legal support for EY’s technology and managed services, including advising and drafting complex technology & managed services agreements.
The opportunity: You will be responsible for advising on, drafting, updating, and negotiating client‑facing technology & managed services agreements, and providing legal support on related initiatives, such as AI, big data, cloud computing, and software‑as‑a‑service contracts.
Your key responsibilities:
- Drafting, updating, and negotiating client‑facing Technology & Managed Services Agreements.
- Advising on key legal risks associated with the technology underpinning Managed Services Agreements.
- Collaborating closely with other members of the US GCO as well as local counsel in other EY member firms.
- Coordinating legal resources on managed services projects.
- Supporting coordination with cross‑functional business and internal support teams (Data Privacy, Talent, Information Security, and Tax) as necessary.
- Advising on the accuracy and sufficiency of contractual documentation to protect EY interests.
- Understanding existing EY policies and developing/enhancing policies and guidance relevant to managed services and other technology services.
- Managing workflow in a highly dynamic environment and remaining highly responsive, reliable, communicative, and accountable to team leadership.
- Building relationships and teaming seamlessly with other members of GCO.
- Developing and delivering training on Technology & Managed Services Agreements, knowledge sharing and best practice across the legal network and business.
To qualify, candidates must have:
- 4+ years of relevant complex services and technology‑related transactional experience in a client‑facing capacity.
- Experience developing contracting templates, playbooks, and standards.
- Experience in data privacy, intellectual property law, and the use and provision of technology in the context of Technology & Managed Services Agreements.
- Experience with cross‑border contracting, including employee matters such as auto‑transfer laws and cross‑border data transfer.
- Ability to understand, assess, and negotiate terms for current and new technologies (cloud, AI) and explain legal and business risks.
- Excellent communication, negotiation, and interpersonal skills.
- High degree of cultural and emotional intelligence, resilience, and flexibility.
- Ability to work independently and team effectively with colleagues in other functions and locations.
- Ability to articulate complex legal and contractual principles and balance risk from a legal and commercial perspective.
- Highly responsive and efficient at managing high workload volumes and competing priorities.
- Solution‑oriented with a focus on exceptional client service.
- Experience in a managed services counsel role in a technology or consulting organization.
- A Bachelor’s degree from an accredited 4‑year college.
- Juris Doctor from an accredited law school.
- Membership in a State Bar as an attorney qualified to practice law.
- Good standing with the applicable State Bar and current on continuing legal education requirements.
