Job summary

Canon Medical Systems USA, Inc. is seeking a Counsel to advise on general commercial, legal, and compliance matters for CMSU. You will draft and negotiate contracts, review RFP responses, and ensure marketing collateral complies with Truth in Advertising and FDA requirements.

You will handle litigation with outside counsel, develop policies, provide training, and research issues affecting CMSU and its subsidiaries. A J.D.

Qualifications

• Juris Doctor degree required and must be admitted to the State Bar.
• Minimum three years of practice as an attorney, preferably with a medical device company.
• Strong drafting, negotiation, and communication skills.
• Knowledge of healthcare laws including Anti-Kickback, False Claims Act, HIPAA.
• Ability to analyze complex contracts and provide prudent advice.

Responsibilities

• Draft, review and negotiate complex commercial contracts, including customer, business development, research, consulting, vendor and supplier agreements.
• Review responses to RFPs and advise on submissions.
• Review marketing collateral for compliance with Truth in Advertising principles and regulatory requirements.
• Advise on approvals of commercial sponsorships and educational grants.
• Manage litigation and pre-litigation matters, coordinating with outside counsel.

OVERVIEW

The Counsel position reports directly to the VP, Legal & Compliance. The Counsel will advise Canon Medical Systems USA, Inc. (CMSU) on general commercial, legal, and compliance matters by providing legal advice, analysis, and recommendations as a trusted legal advisor to a medical device company. This role provides practical legal counsel supporting the organization's strategic objectives while ensuring adherence to applicable laws, regulations, and company policies.

RESPONSIBILITIES

• Draft, review and negotiate complex commercial contracts, including but not limited to customer, business development, research, consulting, vendor and supplier agreements.

• Review and advise on materials to be submitted in response to RFPs (request for proposal).

• Review marketing collateral for compliance with Truth in Advertising principles (ensure compliance with standards, applicable regulatory requirements, and company standards).

• Advise on requests for approval of commercial sponsorships and educational grants.

• Manage litigation and pre-litigation matters primarily handled by outside counsel.

• Draft and review company policies and procedures concerning healthcare compliance (e.g., Anti-Kickback statute, False Claims Act and FDA regulatory issues) as well as other company policies.

• Provide legal advice to CMSU regarding various areas of law, including healthcare compliance, employment law, and privacy.

• Create and conduct training regarding various legal and compliance matters.

• Conduct legal research on issues impacting the company as well as its subsidiaries.

• Knowledge of healthcare laws (Federal Anti-Kickback regulations, False Claims Act, HIPAA, Open Payments Act).

• Team player who can effectively interact with the various departments of CMSU and NXC.

• Must be a member of the State Bar.

• Law Degree.

• Three (3) years practice as an attorney, highly preferably with a medical device/equipment company .
