Canon Medical Systems USA, Inc. is seeking a Counsel to provide strategic legal counsel to CMSU on commercial, regulatory, and compliance matters.

The role involves drafting and negotiating complex contracts, reviewing proposals and marketing materials, and guiding governance and policy development. You will collaborate across functions, manage outside counsel on litigation, and support privacy, employment, and healthcare compliance initiatives.

• Advise on approvals for commercial sponsorships and educational grants.
• Manage litigation and pre-litigation matters, primarily with outside counsel.
• Draft and review policies concerning healthcare compliance and other company policies.
• Provide legal advice on healthcare compliance, employment law, and privacy.
• Create and conduct training on legal and compliance matters.
• Conduct legal research on issues impacting the company and subsidiaries.

OVERVIEW

The Counsel position reports directly to the VP, Legal & Compliance. The Counsel will advise Canon Medical Systems USA, Inc. (CMSU) on general commercial, legal, and compliance matters by providing legal advice, analysis, and recommendations as a trusted legal advisor to a medical device company. This role provides practical legal counsel supporting the organization’s strategic objectives while ensuring adherence to applicable laws, regulations, and company policies.

RESPONSIBILITIES

• Draft, review and negotiate complex commercial contracts, including but not limited to customer, business development, research, consulting, vendor and supplier agreements.

• Review and advise on materials to be submitted in response to RFPs (request for proposal).

• Review marketing collateral for compliance with Truth in Advertising principles (ensure compliance with standards, applicable regulatory requirements, and company standards).

• Advise on requests for approval of commercial sponsorships and educational grants.

• Manage litigation and pre-litigation matters primarily handled by outside counsel.

• Draft and review company policies and procedures concerning healthcare compliance (e.g., Anti-Kickback statute, False Claims Act and FDA regulatory issues) as well as other company policies.

• Provide legal advice to CMSU regarding various areas of law, including healthcare compliance, employment law, and privacy.

• Create and conduct training regarding various legal and compliance matters.

• Conduct legal research on issues impacting the company as well as its subsidiaries.

QUALIFICATIONS

• Knowledge of various aspects of employment law, including without limitation, laws governing termination, benefits, and leaves of absence.

• Knowledge of healthcare laws (Federal Anti-Kickback regulations, False Claims Act, HIPAA, Open Payments Act).

• Team player who can effectively interact with the various departments of CMSU and NXC.

• Must be a member of the State Bar plus Law Degree.

• Three (3) years practice as an attorney, highly preferably with a medical device/equipment company .

• Pay Information: Min Salary of $132,600 to Max Salary of $213,400 (annual equivalency) plus bonus incentive.
