An established industry player is seeking a Counsel for Corporate Contracts in Regulatory Affairs. Under the supervision of the Assistant General Counsel (ACG), review, prepare, and negotiate a full range of hospital contracts including physician contracts, IT, SaaS, and software licensing agreements, clinical affiliation agreements, transfer agreements, HR search and staffing agreements, procurement contracts, leases, event contracts, confidentiality and consulting agreements, transport and ambulance agreements, and home health and hospice agreements, ensuring legal and regulatory compliance. Serve as a primary resource for interpreting contractual obligations, benefits, and remedies. This position is onsite in Morristown, NJ.
- Collaborate with Contract Coordinators to oversee physician, real estate, and contract management processes, including developing electronic databases. Take primary responsibility for physician contract compliance.
- Assist the General Counsel and ACG on major transactions such as mergers, acquisitions, affiliations, and joint ventures, managing due diligence processes.
- Act as a key resource on healthcare laws and regulations, monitor regulatory developments, and conduct legal research on issues like fraud and abuse, HIPAA, EMTALA, Medicare/Medicaid compliance, licensure, pay-to-play, corporate governance, and tax-exempt entity regulations.
- Participate in developing, reviewing, and revising clinical and corporate policies. Review and prepare informed consents, releases, videotaping consents, etc.
- Serve as legal advisor to various committees and work groups. Collaborate with Risk Management, Insurance, Privacy, Audit & Compliance, and other departments to align efforts, improve decisions, reduce risks, and enhance outcomes.

- Quality: Ensure compliance with professional standards, review and update documents as needed, and develop a system-wide quality review program with physicians. Ensure adherence to local, state, federal, OSHA, and The Joint Commission standards. Continuously evaluate core processes for improvement opportunities to enhance operations, reduce costs, cycle time, and improve performance.
Qualifications/Requirements:
- Ability to work independently and lead legal matters
- Excellent analytical and writing skills
- Strong regulatory issue resolution skills
- Expertise in physician contracting, practice acquisitions, vendor and corporate services contracting, and familiarity with IT contracts
- Strong customer orientation and ability to handle diverse requests, interacting effectively at all organizational levels
- JD from an ABA-accredited law school and active membership in the New Jersey Bar
- 5+ years healthcare law experience, including law firm background
- Experience with healthcare regulations, hospitals, Medicare/Medicaid, fraud and abuse laws, Stark Law, Anti-Kickback Statute, HIPAA/HITECH, NJDPA
- Experience with SaaS and technology agreements
