Under supervision, the counsel: (a) reviews, negotiates and drafts commercial contracts for assigned client companies or divisions; (b) handles pre-litigation disputes and manages litigation and alternative dispute resolution with other ACO Legal colleagues and/or outside counsel; (c) provides advice, counsel, and training on legal and compliance topics to the Mitsubishi Electric Group companies in the US; and (d) carries out any other legal work assigned to the counsel by the Senior Counsel or General Counsel.

The essential functions of the position include, but are not limited to the following:
  • Serve as the first point of contact for legal services for assigned business groups, and, as requested, other US based Mitsubishi Electric Group companies or divisions, and provide legal services promptly and efficiently, with an understanding of the client’s operations and business needs.
  • Review, negotiate and draft commercial contracts and related documents for assigned business divisions, and, as requested, other US based Mitsubishi Electric Group companies or divisions including (a) sales and purchasing agreements, (b) distributor/reseller agreements, (c) supply agreements, (d) digital product and service agreements, (e) marketing and other service agreements, (f) non-disclosure agreements, and (h) sales programs, policies and procedures.
  • Provide advice and counseling to US based Mitsubishi Electric Group companies on contract law, litigation, legal compliance, commercial agreements, and company policies and procedures.
  • Advise on and handle pre-litigation dispute matters and supervise outside counsel in handling litigation and/or alternative dispute resolutions.
  • Support informal and formal operational, data privacy, cybersecurity and other information security management audits for the Mitsubishi Electric Group companies in the Americas.
  • Liaise with other ACO Legal colleagues to provide or obtain specialized advice, including regarding employment, antitrust, intellectual property, data privacy, cybersecurity and environmental matters.
  • Carry out special projects as directed by the Senior Counsel or General Counsel, e.g., work related to corporate transactions.
  • Perform other duties as assigned.
EDUCATION AND EXPERIENCE:
  • Graduation from a top-tier law school
  • Admitted to practice law in California
  • 3-6 years' experience in a corporate law department or law firm with substantial experience in contract review and/or commercial litigation
  • Excellent communications skills
  • Ability to multi-task in and demonstrated commitment to supporting a team-oriented, fast-paced, multi-cultural environment
  • Ability to travel for business as needed.
  • Demonstrated ability to work effectively with digital legal tools including but not limited to AI based contract review, legal research, and document and information review tool s

The pay range for this position at commencement of employment is expected to be between $209,000/yr and $250,000/yr; however, base pay offered may vary depending on multiple individualized factors, including market location, job-related knowledge, skills, and experience. The total compensation package for this position may also include other elements, including commissions based on achieving individual performance and/or sales metrics, incentive compensation and discretionary awards in addition to a full range of medical, financial, and/or other benefits (including 401(k) eligibility and various paid time off benefits, such as vacation, sick time, and parental leave), dependent on the position offered. Details of participation in these additional compensation and benefit plans will be provided if an employee receives an offer of employment.

If hired, employee will be in an "at-will position" and the Company reserves the right to modify base salary (as well as any other discretionary payment or compensation program) at any time, including for reasons related to individual performance, Company or individual department/team performance, and market factors.
