Topcon Healthcare is seeking an attorney to join our legal team with a focus on supporting our Corporate Venture Capital (CVC) initiatives. This is an exceptional opportunity to work directly with our CVC team on strategic investments in early-stage ventures, particularly those developing innovative hardware and software applications with AI capabilities in the healthcare diagnostics space.
The role offers significant exposure to cutting-edge technologies while working within a dynamic, fast-paced investment environment.
The Corporate Ventures Counsel (Associate General Counsel) will report to the General Counsel of the Topcon’s Healthcare division (Topcon Healthcare Inc.) and will be the primary legal point of contact for the CVC team, helping drive efficient execution of investment opportunities while ensuring appropriate risk management.
This position can be remote, but proximity to La Jolla/San Diego, CA is preferred. Regular travel to the CVC team's base in La Jolla will be required.
What you'll do:
- Support the CVC team in identification and vetting of target companies for potential investment
- Supervise early pre-due diligence processes with particular focus on confidentiality and IP protection
- Draft and negotiate NDAs, term sheets, and letters of intent (LOIs) for potential investments
- Prepare and review materials for executive and board level investment reviews
- Select, manage, and coordinate with outside counsel on specialized aspects of transactions (IP, international legal matters, financial diligence, etc.)
- Draft and review investment agreements and related transaction documents
- Coordinate with the parent organization's legal team on corporate governance and compliance matters
- Support post-investment relationship management from a legal perspective
- Advise on legal risks and considerations throughout the investment cycle
- Develop and implement standardized processes to increase efficiency in the CVC investment workflow
- Stay current on venture capital market trends, terms, and regulatory developments
Who we are looking for — someone with:
- 5-7 years of relevant legal experience, with substantial focus on venture capital transactions, investment deal structuring, and corporate/securities law
- JD degree and bar admission in good standing in any state
- Experience supporting or leading early-stage investment transactions, including term sheet negotiation and due diligence management
- Strong understanding of corporate governance issues related to strategic investments
- Excellent drafting skills, particularly for investment agreements and related transaction documents
- Ability to work independently while managing multiple transactions at various stages
- Experience managing outside counsel effectively to optimize legal spend
- Strong business acumen and ability to balance legal risk management with business objectives
- Exceptional communication skills for explaining complex legal concepts to business stakeholders
Base Pay:
Expected Base Pay Range: $140,000 to $160,000 Annualized
The base pay range included is a projected hiring range for a position, level and potential work location(s) listed. Topcon provides the compensation range that it in good faith believes it might pay and/or offer for this position. This compensation range is based on a full-time schedule.
Bonus eligible:
In addition to base pay, compensation for this position includes eligibility for a 5% annual bonus.

- Topcon time off policies can vary between roles which are exempt or non-exempt. For hourly (“non-exempt”) employees, we offer personal paid time off which accrues in accordance with local standards. For salaried (“exempt”) employees, we offer a flexible paid time off policy giving you flexibility to take time when needed, while supporting business needs. All paid time off policies are in accordance with or exceeding local law. Employees working at least 30 hours per week are eligible for our Health and Welfare benefit package.
