Job description

Job Overview:
A highly regarded national law firm is seeking a Corporate Securities Attorney with 5–12 years of experience to join its Corporate Practice Group. This role focuses on securities law compliance, regulatory filings, and corporate governance for publicly traded and privately held companies. Ideal for candidates seeking flexibility, this opportunity is open to applicants across multiple U.S. offices and supports remote work arrangements. The position offers a dynamic environment with access to high-profile clients and complex matters across industries.

Location: Phoenix, AZ

Duties:

  1. Prepare and file documents with regulatory bodies including SEC, FINRA, NYSE, Nasdaq, and OTC Markets Group
  2. Advise clients on securities compliance, disclosure obligations, and corporate governance
  3. Draft and review periodic filings such as 10-Ks, 10-Qs, 8-Ks, proxy statements, and registration statements
  4. Assist with public and private securities offerings including IPOs and PIPE transactions
  5. Counsel clients on compliance with stock exchange listing standards and insider trading rules
  6. Monitor developments in securities law and inform clients of regulatory changes
  7. Work collaboratively with colleagues on M&A, capital markets, and financing transactions

Requirements:

  1. 5–12 years of experience in corporate and securities law
  2. Demonstrated experience with public company filings and regulatory compliance
  3. Proficiency in advising boards and management on corporate governance matters
  4. Capable of managing multiple complex projects independently and efficiently
  5. Must be licensed to practice in home jurisdiction or eligible for admission without examination

Education: Juris Doctor (J.D.) from an accredited law school

Certifications: Active bar license in a U.S. jurisdiction
