Qualifications

• J.D. from an accredited law school.
• 4–6 years of securities and public company experience.
• Strong knowledge of federal securities laws, SEC reporting and disclosure requirements, and public company governance.
• Bar admission in the applicable jurisdiction of practice.
• Strong academic credentials with excellent research, writing, and communication skills.

The ideal candidate can sit in either Baltimore, Wilmington or Washington, D.C. This opportunity is well suited for an attorney with substantive experience advising public companies on SEC reporting and disclosure, securities offerings, corporate governance, and compliance matters.

Key Responsibilities

• Advise public companies on disclosure and reporting requirements under the Securities Act of 1933 and Securities Exchange Act of 1934.


• Prepare and review Forms 10-K, 10-Q, and 8-K, proxy statements, and other SEC filings.
