Arnold & Porter is seeking a highly skilled Paralegal to join our Corporate Practice Group. This position may be based in our Boston, New York, or Washington, DC office and will work closely with attorneys and practice specialists.

The ideal candidate will bring significant experience in corporate governance, entity management, transactional support, along with exceptional organizational skills and attention to detail.

Qualifications

• Three years of experience supporting corporate and finance legal matters.
• Experience with EDGAR is a plus.
• Experience with Carta is a plus.
• Notary commission in the state where the position is based (or eligibility) is required.

Responsabilités

• Support attorneys through all phases of corporate and finance transactions, including due diligence, document preparation, closings, and post-closing activities.
• Coordinate and prepare transaction closing documents and closing sets.
• Review and organize due diligence materials and maintain transaction records.
• Prepare and file entity formation documents and related corporate filings across jurisdictions.
• Manage corporate records, capitalization data, and equity ownership information.
• Monitor equity plan compliance and maintain related records.
• Prepare status reports and summaries of search results and filings.
• Record billable time and manage vendor invoices and client disbursements.
