Job summary

Cooley LLP seeks a Corporate Paralegal to join the DC team. The role provides legal support with corporate maintenance and complex transactions for private and public company clients.

Responsibilities include formation, closings, stock records, due diligence, and preparing filings. Ideal candidates have a bachelor’s degree, 3+ years of transactional experience, advanced Excel, and are ready for overtime as needed.

Qualifications

• Bachelor’s degree required.
• 3+ years of transactional experience in Private Companies, Capital Markets, and M&A matters is desired.
• Overtime availability required.
• Proficiency in the Microsoft Office suite, advanced knowledge of Excel preferred.

Cooley is seeking a Corporate Paralegal to join the DC team.

Skills and experience:

Required:

• Bachelor’s degree
• 3+ years of transactional experience in Private Companies, Capital Markets, and M&A matters is desired
• Available to work overtime, as required
• Proficiency in the Microsoft Office suite, advanced knowledge of Excel preferred

Preferred:

• Familiarity with Carta, Shareworks, or similar Web based equity tracking system
• Previous law firm experience

• Excellent oral and written communication skills
• Strong attention to detail with the ability to manage multiple priorities and track extensive details to deliver excellent client service
• Ability to establish and maintain good working relationships with personnel and to handle confidential information sensitively and discreetly

The expected hourly pay range for this position with a work schedule of 40 hours per week is $35.00 - $50.00 ($72,800.00 - $104,000.00 annually). Please note that final offer amount will be dependent on geographic location, applicable experience and skillset of the candidate.
