The role has primary responsibility for licensing and permits, corporate governance, entity management, compliance, and tax and finance related filings across a large portfolio of legal entities and golf, hospitality, and racquets facilities. The successful candidate is organized, detail driven, and comfortable managing many deadlines at once with limited supervision.
Essential Duties and Responsibilities:
Licensing and Permits
  • Obtain, renew, transfer, and track alcoholic beverage licenses, business licenses, food service and health permits, and other operating licenses and permits for Troon facilities and entities.
  • Prepare and file license applications, change of manager and change of ownership filings, and related supporting documents with state and local agencies.
  • Maintain the licensing database in License Pro, including renewal dates, responsible persons, and filing status, and ensure no license lapses.
  • Coordinate with facility general managers, outside counsel, and regulators on applications, inquiries, and inspections.
Corporate Governance
  • Prepare and maintain minutes, written consents, resolutions, bylaws, operating agreements, and officer and manager appointments for Troon entities.
  • Maintain corporate records and minute books, and keep governance documents current as ownership, officers, and managers change.
  • Prepare incumbency certificates, good standing certificates, authority documents, and other deliverables required for transactions and financings.
Entity Management
  • Form, qualify, amend, merge, convert, and dissolve entities, and track the ownership structure and organizational chart for the Troon portfolio.
  • Form and maintain international entities, including coordination with foreign counsel, local registered offices, and foreign filing and annual compliance requirements.
  • Maintain entity records in hCue, including officers, managers, owners, registered agents, and jurisdictions of qualification.
  • Manage annual reports, registered agent relationships, franchise and annual fees, and beneficial ownership and similar filings.
  • Support the Legal Department on acquisitions, new management agreements, terminations, and facility transitions that require entity or licensing actions.
Compliance
  • Monitor and calendar corporate and regulatory compliance deadlines across all jurisdictions, and follow up until each is complete.
  • Respond to agency notices, audits, and information requests, and elevate issues to the General Counsel promptly.
  • Assist in developing and maintaining compliance policies, procedures, checklists, and training materials.
  • Perform periodic audits of licenses, entity records, and governance documents, and report exceptions and corrective actions.
Tax and Finance Support
  • Prepare and file applications for tax licenses and registrations, including sales and use, occupancy, and similar state and local tax licenses.
  • Renew tax licenses on time, gathering the tax information from the Tax Department that some renewals require.
  • Complete Know Your Client applications and supporting documentation for new domestic and foreign bank accounts, including ownership, officer, and entity records.
  • Coordinate with the Tax and Finance Departments, banks, and outside advisors on related requests.
M&A Due Diligence
  • Assist with legal due diligence on acquisition targets and strategic transactions, including reviewing corporate records, ownership structures, licenses and permits, and compliance history.
  • Prepare and maintain due diligence request lists, data room indexes, and summaries of findings for the Legal Department.
  • Support closing activities, including entity formation, license transfers, closing checklists, and post-closing integration of acquired entities into the Troon structure.
General Legal Support
  • Assist with contract administration, document review, and preparation of routine legal documents as directed.
  • Maintain confidentiality and privilege over all legal department matters.
Qualifications:
  • Bachelor's degree preferred, or paralegal certificate from an accredited program, or equivalent combination of education and experience.
  • Three to five years of corporate paralegal experience, preferably in a law firm or corporate legal department with multi-entity, multi-state responsibility.

  • Working knowledge of corporate formalities for LLCs, corporations, and partnerships, and of Secretary of State filing requirements.
  • Experience in hospitality, golf, restaurant, or multi-site operating businesses is a plus.

Core Competencies:

  • Strong organization and time management, with the ability to prioritize competing deadlines.
  • Clear written and verbal communication, and professionalism with regulators, facility staff, and outside counsel.
