Job summary

Fluence is a global leader in energy storage and optimization software, seeking a Corporate Paralegal (or Senior Corporate Paralegal) to join a fast-paced Legal & Compliance team. The role supports public company reporting, governance, contract management, and regulatory compliance on a global scale.

The candidate will handle contract intake, policy compliance, corporate records, and SEC filings while coordinating with cross-functional teams to ensure timely, accurate reporting and governance

Qualifications

  • 3–5 years of corporate paralegal experience in a corporate legal department or law firm.
  • Exposure to public company environments.
  • Proficiency with CMS, DMS, and MS Office.
  • Experience with SEC filings and corporate governance matters.

Responsibilities

  • Lead contract intake, tracking, and revisions of routine commercial contracts (NDAs, supply agreements, SaaS).
  • Manage escrow agreements setup and coordination with stakeholders.
  • Coordinate contract execution and maintain contract repository and templates.
  • Review contracts for compliance with company guidelines.
  • Provide administrative support for files, documentation, and activity trackers related to contracts.

Job Description

We are seeking a detail‑oriented, highly organized, and proactive Corporate Paralegal (or Senior Corporate Paralegal, depending on experience) to join our growing Legal & Compliance team. This role offers an exceptional opportunity to make a significant contribution to a fast‑paced, publicly traded global organization.

The successful candidate will provide contract support to the legal team and support across public company reporting, corporate governance, contract management, and global regulatory compliance.

Key Responsibilities
Contract Management, Review & Support
  • Lead the intake, tracking, management, and initial review and/or revisions of routine commercial contracts, e.g., NDAs, supply agreements, construction agreements, and Software‑as‑a‑Service (SaaS) agreements.
  • Manage escrow agreements, including their setup process and coordinating with stakeholders throughout the process.
  • Coordinate contract execution processes and help manage and update the contract repository database and contract templates.
  • Review contracts for compliance with company guidelines.
  • Provide administrative support for maintaining files, supporting documentation, and activity trackers related to commercial contracts claims and dispute resolution processes.
Corporate Governance & Entity Management
  • Maintain corporate records, minute books, and entity documentation for domestic and global subsidiaries.
  • Assist in preparing board meeting materials, resolutions, consents, and governance documents.
SEC Reporting & Compliance Support
  • Assist with SEC Reporting & Compliance (e.g., Section 16 filings).
  • Support public company reporting processes (such as Form 10‑K, Form 10‑Q, and Proxy Statements) and ensure strict compliance with SEC and exchange requirements.
Regulatory & Compliance Filings
  • Assist with various regulatory and compliance filings across multiple jurisdictions, including Know Your Customer (KYC) and Ultimate Beneficial Owner (UBO) reporting.
  • Monitor filing deadlines to ensure timely regulatory compliance.
Legal Research & Special Projects
  • Conduct legal research on corporate governance, exchange regulations, and commercial compliance matters.
  • Coordinate and support special projects across the legal department as needed.
Education

Bachelor’s degree and/or an ABA‑approved paralegal certificate is preferred.

Qualifications & Experience
  • For Paralegal level: 3–5 years of corporate paralegal experience in a corporate legal department or law firm, with exposure to public company environments.
  • For Senior Paralegal level: 6+ years of relevant corporate paralegal experience with strong independent capabilities.
  • Technical Skills: Practical experience with SEC filing software, Section 16 filing portals, and corporate entity management databases.
  • Proficiency with contract management systems (CMS), document management systems (DMS), and Microsoft Office Suite (Word, Excel, PowerPoint, Teams).

  • High level of discretion and capability to handle confidential, sensitive information.
  • Exceptional written and verbal communication skills.
  • Strong organizational and project management skills, with the ability to manage competing priorities in a fast‑paced environment.
