Job summary

RightClick in New York seeks a Corporate Counsel to own the legal function for a fast-growing commerce and performance marketing company, focusing on contracting, privacy, data protection, and governance.

You will draft and negotiate MSAs/DPAs, develop contract playbooks, manage privacy compliance, and support corporate transactions and employment matters with cross-functional teams.

Qualifications

• JD and active New York bar admission required.
• 5+ years of legal experience with at least 2 in-house.
• Experience drafting and negotiating technology agreements (SaaS, data, advertising, partnerships).
• Knowledge of U.S. state privacy law and GDPR as applied to data processing.

Responsibilities

• Draft, negotiate, and close commercial agreements including MSAs, DPAs, and vendor contracts.
• Develop and revise standard contract terms, playbooks, and legal strategy.
• Own the company's privacy posture across domestic and international law, including DPAs.
• Run diligence on data handling for products and commercial teams.
• Partner with People Operations on employment matters and support corporate transactions.

Job description

Our client is seeking a Corporate Counsel to solely own the legal function for a fast-growing commerce and performance marketing company, with an emphasis on commercial contracting, privacy and data protection, and corporate governance. This is a hybrid position based in New York, New York.

Corporate Counsel's Responsibilities And Duties

• Draft, negotiate, and close commercial agreements including MSAs, DPAs, and vendor and procurement contracts
• Develop and revise standard contract terms, playbooks, and legal strategy
• Own the company's privacy posture across domestic and international law, including data processing agreements
• Run vendor and partner diligence on data handling and translate legal and platform requirements for product and commercial teams
• Partner with People Operations on employment matters and support diligence on financing or corporate transactions

Corporate Counsel's Qualifications And Skills

• JD and active bar admission in New York, or admission in another U.S. jurisdiction with eligibility to register as in-house counsel in New York
• At least 5 years in practice, including at least two years in-house
• Personally drafted and negotiated commercial technology agreements (SaaS, data, advertising, partnership, or similar) as the responsible lawyer
• Working knowledge of U.S. state privacy law and GDPR as applied to a company processing data on behalf of partners
• Experience advising commercial and go-to-market teams directly, at the pace those teams operate
