Ideal candidates will have 7+ years in commercial law, strong negotiation skills, and experience with data privacy, IP, and governance. This role offers hybrid flexibility, collaborating with revenue, product, and business teams.

Qualifications

• JD required and in good standing in New York or able to obtain.

Responsibilities

• Draft, review, and negotiate SaaS, eCommerce, and partnership contracts.
• Develop scalable contract templates and playbooks with revenue and product teams.
• Advise on data privacy, data security, IP, and compliance issues.
• Support corporate governance, vendor management, and IP portfolio activities.
• Improve legal processes to increase efficiency and reduce risk.
• Manage outside counsel across multiple areas.

Job Summary:

We are seeking a Corporate Counsel to join our growing team. This role will provide broad legal support across commercial transactions, compliance, and corporate matters. The ideal candidate brings deep experience in SaaS, eCommerce, and B2B partnerships, with the ability to balance legal rigor and business pragmatism in a high-growth environment.

What You’ll Do:

• Draft, review, and negotiate a wide range of commercial agreements, including SaaS, eCommerce, and partnership contracts.
• Partner with revenue, product, and business teams to build scalable contract templates, playbooks, and negotiation processes.
• Advise on data privacy, data security, intellectual property, and compliance issues relevant to our business.
• Support corporate governance, vendor management, and IP portfolio activities (e.g., trademarks, copyrights, enforcement).
• Help implement and improve legal processes to increase efficiency and reduce risk.
• Manage outside counsel as needed across multiple legal areas.
• Translate complex legal issues into practical, actionable advice for business and technical teams.

What We Need:

• Strong understanding of commercial B2B laws, SaaS, eCommerce, data privacy, data security, and intellectual property.
• At least 7+ years of experience in law firm and/or in-house commercial/transactional roles.
• CIPP/US certification required; CIPP/EU, CIPT, or CISSP a plus.
• JD required; must be in good standing in New York or able to obtain good standing.
• Proven ability to manage outside counsel effectively.
• Strong communication skills, able to explain legal concepts clearly to non-lawyers.
• Comfort working in fast-paced, unstructured environments with a collaborative, hands‑on approach.
• Experience with legal operations or process improvement (e.g., Six Sigma) a plus.
