Responsibilities

  • Review, draft, negotiate, and manage a variety of commercial agreements including NDAs, vendor, sales, distribution, and terms and conditions of sale.
  • Conduct legal research and prepare memoranda on business issues.
  • Provide legal support across departments (employment, IP, international, etc.).
  • Support litigation management with outside counsel, document gathering, and requests management.
  • Help develop and deliver employee training on legal and compliance topics.
  • Monitor changes in applicable laws and regulations.
  • Participate in cross-functional projects across AMT Departments.

Job Title: Corporate Counsel

Position Summary:

The Corporate Counsel provides legal support across a broad range of corporate matters under the supervision of the Assistant General Counsel. This position is designed for a newly licensed attorney or an attorney with up to 2 years of experience who is interested in developing a well-rounded in-house legal career. The successful candidate will work closely with AMT’s Leadership team to identify legal risks, provide practical advice, and support the company’s strategic objectives while ensuring compliance with applicable laws and regulations.

Duties and Responsibilities:

This list is not comprehensive, but is meant to represent the most common or important duties of the position. Other duties are required and/or assigned.

  • Review, draft, negotiate, and manage a variety of commercial agreements, including:
    • NDAs
    • Vendor agreements
    • Sales agreements
    • Distribution agreements
    • Terms and conditions of sale
  • Conduct legal research and prepare memoranda on a variety of business issues.
  • Provide legal support and advice for various AMT Departments across a variety of different areas of law (employment, intellectual property, international, etc.).
  • Support the Assistant General Counsel with litigation management by coordinating with outside counsel, gathering documents, and managing requests.
  • Help develop and deliver employee training on legal and compliance topics.
  • Monitor changes in applicable laws and regulations.
  • Participate in cross-functional projects involving various AMT Departments.
  • Perform other legal responsibilities as determined or assigned.
Preferred Requirements:
  • 0-2 years of in-house counsel experience.
  • Internship, clerkship, or prior experience in a corporate legal department.
  • Experience with contract drafting, review, and negotiation.
  • Experience using legal research platforms (For Example, Lexis+).
Minimum Qualifications:
  • Juris Doctor (J.D.) from an ABA-accredited law school.
  • Licensed to practice law in in the State of Ohio.
  • Excellent legal research, writing, and analytical skills.
  • Strong interpersonal and communication skills.
  • Ability to explain complex legal concepts in practical business terms.
  • Strong organizational skills and attention to detail.
  • Ability to manage multiple priorities in a fast-paced environment.
  • High ethical standards and sound professional judgment.
Language Skills:

Ability to read, analyze, and interpret company procedures/policies, general business periodicals, professional journals, technical procedures, or governmental regulations. Ability to effectively present information and respond to questions from groups of managers, clients, customers, and the general public.

Mathematical Skills:

Ability to calculate figures and amounts such as discounts, interest, commissions, proportions, percentages, and volume. Ability to apply concepts of basic algebra and geometry.

Ability to work with mathematical concepts such as probability and statistical inference, and fundamentals of plane and solid geometry. Ability to apply concepts such as fractions, percentages, ratios, and proportions to practical situations.

Reasoning Ability:

Ability to solve practical problems and deal with a variety of concrete variables in situations where only limited standardization exists. Ability to interpret a variety of instructions furnished in written, oral, diagram, or schedule form.

Ability to define problems, collect data, establish facts, and draw valid conclusions. Ability to interpret an extensive variety of technical instructions in mathematical or diagram form and deal with several abstract and concrete variables.

Certificates, Licenses, Registrations:

Maintains a valid Driver’s License.

Essential Job Functions

Mental: Must be able to effectively communicate with others; complete and understand complex analysis of numbers; read, analyse and interpret written materials; develop company to meet and exceed company standards; ensure compliance with company policies; respond appropriately to feedback to make improvements; maintain positive working relationships; troubleshoot and solve problems.

Physical: Moderate noise level and limited exposure to physical risk.

Knowledge, Skills, and Abilities Required

Knowledge of compliance and how to apply it to company policies, procedures, issues and contracts. Knowledge of modern business communication, office procedures and methods. Skill to use a personal computer and various software packages such as Microsoft Office Suite. Ability to establish priorities, work independently with minimal supervision, and facilitate teamwork.
