Job Overview
A law firm seeks a talented mid-level associate to join its Corporate Governance and Special Committee practice in San Francisco. This role offers the opportunity to work on sophisticated, board-level matters involving fiduciary duties, special committees, activism defense, mergers and acquisitions, governance, and Delaware Court of Chancery litigation.
Duties
- Advise board directors, special committees, and management on corporate law issues.
- Support special committee representations in conflict transactions.
- Assist clients with activism preparedness and governance audits.
- Advise on mergers and acquisitions transactions and litigation risk management.
- Research and advise on corporate law developments and implications.
- Draft board materials, legal opinions, and client memoranda.
- Support Delaware Court of Chancery litigation matters.
- Collaborate with partners across various practice groups for strategic advice.
Requirements
- 3-6 years of experience at a major law firm with Delaware corporate law exposure.
- Strong understanding of Delaware General Corporation Law and fiduciary duties.
- Experience with Nevada corporate law is a plus.
- Experience with special committees, conflict transactions, or M&A matters preferred.
- Exceptional legal research, writing, and analytical skills.
- Ability to work independently and manage multiple matters simultaneously.
- Strong client service orientation and business judgment.
- Admission to California bar; Delaware or Nevada bar admission a plus.
Education
J.D. from a top-tier law school with excellent academic credentials.
Certifications
Admission to California bar; Delaware or Nevada bar admission a plus.
