Job summary

Everus seeks a Corporate Development professional to drive growth through mergers and acquisitions. You will build pro-forma models, evaluate targets, and prepare analyses for Board review under general supervision, applying disciplined processes and analytics.

This role partners with cross-functional teams, manages due diligence, coordinates with external advisors, and helps codify acquisition practices in an Everus playbook.

Qualifications

  • Bachelor’s degree in finance, business, accounting or related field.
  • 2 years’ experience in investment banking or corporate development.

Job Summary

Execute organizational efforts to achieve growth through mergers, acquisitions, and divestitures while also assisting in the financial, organizational, and operating evaluation of potential target acquisition opportunities. Performs financial planning and analysis activities, including review of historical performance, development of potential forecasts, and formulation of valuation analyses. Prepares summary information related to departmental, management, and Board review of potential opportunities. Supports overall Corporate Development efforts with performance of various administrative and analytical tasks. Works under general supervision while applying established processes and analytical techniques to assigned responsibilities.

Minimum Qualifications
  • A working knowledge of mergers and acquisitions at a level normally acquired through completion of a bachelor’s degree in finance, business administration, accounting, economics or related field; and
  • Two years’ experience in investment banking or corporate development activities.
Job Responsibilities
  • Manage existing and further refine opportunity tracking capabilities to ensure appropriate reporting to the Department, Board of Directors, and Executive Leadership team.
  • Support the Corporate Development team’s efforts to identify, analyze and determine feasibility of possible mergers and acquisitions, while evaluating the potential impact on the corporation’s strategy, growth, profitability and diversification.
  • Build pro-forma financial models for targets which reflect acquired business characteristics while incorporating corporation-specific financial reporting techniques and methods.
  • Support the maintenance of financial models, forecasting tools, assumptions, and supporting schedules used in such activities, which will include discounted cash flow, internal rate of return, comparable transactions, ability to pay, and synergy analysis.
  • Develop and collaborate on merger and acquisition project management processes including due diligence, financial planning, scoping, closing and integration.
  • Collaborate with due diligence teams including scheduling, logistics, diligence review, board presentations, and negotiation/closing documentation.
  • Coordinate internal and external due diligence activities on a cross-functional basis and in coordination with third party service providers (i.e. attorneys, bankers, CPA’s, consultants)
  • Collaborate with cross-functional, inter-departmental teams in the creation of post-closing integration tracking on a cross-functional, inter-department basis.
  • Develop and collaborate to create the corporation’s “M&A Playbook” to codify acquisition practices, techniques, and procedures on a cross-functional basis and in coordination with third party service providers (i.e. attorneys, bankers, CPA’s, consultants).
  • Assist in preparing financial reports, dashboards, presentations, and executive summaries that communicate key information related to general Corporate Development departmental activities and specific, actionable opportunities
  • Perform ad hoc financial analyses, scenario modeling, and special projects to address emerging departmental needs and strategic priorities.
  • Performs other tasks and special projects as assigned.
KEY SKILLS & COMPETENCIES
  • Requires strong project management skills
  • Excellent financial analytical skills including in-depth knowledge of business valuation techniques
  • Excellent written and oral communication skills, ability to present to executive leadership
  • Must have the ability to manage multiple priorities and meet rapid, time-sensitive deadlines
  • Must be able to maintain confidentiality
  • Must possess excellent human relation skills
  • Advanced knowledge in the use of Microsoft Office Suite applications.
  • Self-motivated with the ability to accomplish multiple tasks within tight deadlines and the ability to work with minimum supervision.
  • High degree of accuracy and attention to detail.
PREFERRED QUALIFICATIONS
  • Experience within the financial services or corporate development field related to the construction industry, including knowledge of GAAP related to construction industry (i.e. percentage completion accounting)
Compensation & Benefits Package
  • Salary: $63,990 - $79,990
  • Annual short-term incentive bonus of up to 14% of eligible wages based on eligibility and company goal achievement.
