Job summary

Duolingo is hiring a Corporate Counsel to support securities, governance, and M&A work while acting as a generalist on international, employment, and real estate matters. You’ll collaborate with Finance, People, and senior leadership, delivering practical, business‑forward legal guidance.

The role requires a J.D. and bar membership, 2+ years of relevant experience, and the ability to work from the Pittsburgh, PA office. Base salary is complemented by equity compensation and benefits.

Qualifications

• J.D. and active bar membership in good standing.
• 2+ years of relevant legal experience with public company securities and governance.

Responsibilities

• Support securities and public‑company workstreams, including periodic and current reporting, proxy statement/annual meeting preparation, Section 16 matters, and disclosure processes.
• Counsel on policies and procedures relating to securities law compliance and disclosure matters; support insider trading policy administration.
• Advise on corporate governance, related policies and approvals, board materials, and subsidiary management; maintain templates and playbooks.
• Support executive compensation, equity compensation, and incentive plan matters.
• Provide guidance on international operations.
• Partner on corporate development strategy and support mergers, joint ventures, investments and complex transactions.
• Act as legal partner to People on recruiting, offers, confidentiality/IP, and employment documents.
• Support real estate and workplace matters, including leases and related agreements.
• Draft, review, and negotiate commercial agreements; create templates to increase speed and consistency.
• Monitor regulatory developments and translate them into practical training for stakeholders.
• Manage outside counsel with clear scopes and budgets.
