  • Strong understanding of patent processes, licensing, confidentiality, and technology agreements.
  • Excellent drafting, negotiation, communication, and analytical skills.

Job description

We are seeking a business-minded, hands-on Corporate Counsel to serve as a trusted legal advisor across our growing medical device organization. As one of the company's first in-house legal hires, you will play a critical role in protecting our intellectual property, negotiating commercial agreements, managing legal risk, and supporting strategic business initiatives from product development through commercialization.

The ideal candidate brings deep expertise in intellectual property and commercial contracting, along with experience supporting life sciences, medical device, biotechnology, or healthcare companies in a fast-paced, high-growth environment. This role requires someone who is practical, collaborative, and comfortable balancing legal risk with business objectives.

Key Responsibilities
  • Partner with executive leadership, engineering, and R&D teams to develop and execute the company's intellectual property strategy.
  • Manage the company's patent portfolio, including invention disclosures, patent prosecution, freedom-to-operate analyses, and coordination with outside patent counsel.
  • Advise on trademark, copyright, trade secret, confidentiality, and brand protection matters.
  • Develop processes to identify, protect, and commercialize company innovations.
  • Support IP due diligence activities for financing, licensing, partnerships, and strategic transactions.
Commercial Contracts
  • Draft, review, negotiate, and manage a broad range of commercial agreements, including:
  • Master Service Agreements (MSAs)
  • Non-Disclosure Agreements (NDAs)
  • Supply and Manufacturing Agreements
  • Clinical Trial Agreements
  • Research Collaboration Agreements
  • Licensing Agreements
  • Distribution and Commercialization Agreements
  • Software and Technology Agreements
  • Vendor and Consulting Agreements
  • Develop contract templates and scalable contracting processes that enable business growth while mitigating legal risk.
  • Advise internal stakeholders on contract interpretation, compliance, and dispute resolution.
Corporate & Regulatory Support
  • Provide practical legal guidance to leadership on corporate governance, compliance, and operational matters.
  • Support FDA-regulated business activities by partnering with Regulatory Affairs and Quality teams on legal issues related to medical device development and commercialization.
  • Assist with healthcare compliance matters, including anti-kickback, privacy, and promotional review, as applicable.
  • Support fundraising activities, strategic partnerships, licensing transactions, and corporate development initiatives.
  • Manage outside counsel efficiently and oversee legal budgets.
  • Identify legal risks and recommend practical, business-oriented solutions.
  • Develop internal policies and training related to contracts, intellectual property, confidentiality, and corporate compliance.
  • Monitor changes in laws and regulations affecting the medical device industry.
  • Support internal investigations, audits, and compliance initiatives as needed.
Cross-Functional Partnership
  • Collaborate closely with Engineering, R&D, Product Development, Commercial, Finance, Human Resources, Quality, and Regulatory teams.
  • Build strong relationships across the organization and serve as a proactive legal business partner.
  • Foster a culture of compliance while enabling innovation and business growth.
Qualifications
Required
  • Juris Doctor (JD) from an accredited law school.

  • 3+ years of legal experience, including experience in-house and/or at a law firm supporting medical device, biotechnology, life sciences, or healthcare clients.
  • Demonstrated expertise in intellectual property strategy and commercial contracting.
  • Experience negotiating complex commercial transactions.
  • Strong understanding of patent processes, licensing, confidentiality, and technology agreements.
  • Excellent drafting, negotiation, communication, and analytical skills.
  • Ability to manage multiple priorities independently in a fast-paced startup environment.
Preferred
  • Experience supporting FDA-regulated medical device companies.
  • Familiarity with FDA regulations, ISO 13485, and quality management systems.
  • Experience with venture-backed startups or high-growth technology companies.
  • Background supporting financing transactions, M&A, or strategic partnerships.
  • Experience with international commercial agreements and global intellectual property strategy.
  • Familiarity with healthcare compliance, privacy, and reimbursement issues.
