Job summary

Prime Data Centers is seeking a Corporate Counsel, Construction, to lead drafting, negotiation, and risk management for its data center construction and development program. The role reports to the VP, Legal and collaborates with Construction, Design, and Procurement to keep projects moving.

The ideal candidate has a J.D., 5+ years in construction/Procurement contracts, and strong knowledge of EPC/design-build frameworks, with excellent drafting and negotiation skills for fast-paced environments.

Qualifications

• J.D. from an accredited law school and active bar in at least one U.S. jurisdiction.
• 5+ years drafting, negotiating construction, procurement, or supply chain agreements, preferably in data center or large-scale infra.
• Strong knowledge of EPC, design-build, and AIA contracts; familiar with indemnification, insurance, lien waivers, LDs.
• Proven ability to manage high-volume concurrent transactions in a fast-paced environment.
• Excellent drafting, negotiation, and cross-functional communication skills.

About the role

Prime Data Centers is looking to hire the role of Corporate Counsel, Construction, to grow our legal support team as related to the company's data center construction and development program. Reporting to the VP, Legal, this role will lead contract drafting, negotiation, and risk management across construction, procurement, and supply chain agreements supporting Prime's growing pipeline of data center builds.

What you'll do

• Structure, draft, and negotiate commercial agreements supporting Prime's data center construction program, including EPC and design-build contracts, general contractor and trade contractor agreements, equipment procurement and supply agreements, and related vendor arrangements.
• Lead negotiations with contractors, suppliers, and other counterparts on construction and procurement matters, balancing legal risk against project timelines and cost objectives.
• Manage outside counsel engaged in construction-related matters, holding firms to a rigorous bar on scope, quality, and spend.
• Partner cross-functionally with Construction, Design, and Procurement teams to keep deals and projects moving without unnecessary legal friction.
• Advise business stakeholders on construction-related legal and commercial risk, translating complex issues into clear, actionable guidance.
• Develop and maintain standard contracts, playbooks, and templates to improve consistency and efficiency across Prime's construction contracting.

Qualifications

• Juris Doctor (J.D.) from an accredited law school and active bar admission in at least one U.S. jurisdiction.
• 5+ years of experience structuring, drafting, and negotiating construction, procurement, or supply chain agreements, ideally including data center, industrial, or large-scale infrastructure projects.
• Strong working knowledge of construction contracting frameworks (e.g., EPC, design-build, AIA contracts) and related risk allocation issues (indemnification, insurance, lien waivers, liquidated damages).
• Proven ability to manage a high volume of concurrent transactions independently in a fast-paced environment.
• Excellent drafting, negotiation, and cross-functional communication skills.

Benefits

• Competitive salary rangeand performance bonus program.
• The base salary range for this position is $175,000-$210,000/year. This range reflects the compensation the Company reasonably and in good faith expects to pay for this role at the time of posting. Where a candidate falls within the range depends on factors such as relevant experience, skills, and internal equity.
• 401(k) fully vested upon enrollment, up to a 4% employer match.
• 100% employee premiums paid by employer for medical, dental, vision, life insurance, and disability
• Paid Time Off + Sick time.
