Job summary

Prime Data Centers Corporation in Denver, CO, seeks a Corporate Counsel, Construction, to support a growing data center program. You will draft, negotiate, and manage construction, procurement, and supply‑chain agreements with cross‑functional teams.

Reporting to the VP of Legal, this role requires a JD with 5+ years in construction contracts; base salary $175,000–$210,000/year, plus bonus, 401(k) match up to 4%, employer‑paid insurance, and PTO.

Qualifications

• J.D. from an accredited law school and active bar admission in at least one U.S. jurisdiction.
• 5+ years of experience drafting, negotiating construction, procurement, or supply chain agreements, preferably for data center or large infrastructure projects.
• Strong knowledge of construction contracting frameworks (e.g., EPC, design-build, AIA) and risk allocation (indemnification, insurance, lien waivers, liquidated damages).
• Ability to manage a high volume of transactions independently in a fast-paced environment.
• Excellent drafting, negotiation, and cross-functional communication skills.

Responsibilities

• Structure, draft, and negotiate commercial agreements supporting data center construction, including EPC/design-build and contractor arrangements.
• Lead negotiations with contractors, suppliers, and counterparts balancing legal risk with timelines and costs.
• Manage outside counsel on construction matters, ensuring scope, quality, and spend discipline.
• Partner with Construction, Design, and Procurement teams to keep deals moving with minimal legal friction.
• Advise business stakeholders on construction-related legal and commercial risk in clear terms.
• Develop and maintain standard contracts, playbooks, and templates to improve efficiency.
