Job summary

Nextpower LLC is seeking an experienced Corporate Counsel, Commercial Contracts to serve as a strategic legal partner to our leadership team. Based in Nashville, Fremont, or remote, you will provide pragmatic counsel on complex commercial transactions and draft key agreements.

You will help drive risk management, support playbooks, and collaborate with internal teams. The ideal candidate holds a JD, US bar admission, 6–8 years of experience, and thrives in a fast-paced tech environment.

Qualifications

  • Juris Doctorate from an accredited Law School.
  • Licensed to practice law in the United States and active membership in at least one state bar.
  • Minimum of 6-8 years of legal experience; experience may include a combination of law firm and in-house roles.
  • Experience advising executive clients on business and transactional matters (contracts, agreements, business strategy).
  • Demonstrated leadership ability, preferably as a counsel for a technology-driven company.
  • Hands-on legal generalist capable of operating in a fast-paced, complex organization.
  • Strong interpersonal and communication skills.

Responsibilities

  • Integrate with business unit leadership to provide sound legal advice and risk mitigation.
  • Draft and negotiate commercial and ancillary agreements.
  • Provide authoritative legal guidance to the legal commercial team and other internal teams.
  • Collaborate to update playbooks and templates and improve processes.
  • Manage internal SLAs and balance competing priorities in a fast-moving environment.
  • Own specific legal projects and develop subject-matter expertise for customer contracts.
  • Review solicitations and strategize responses addressing legal topics, including liability limitations and indemnification.

Job Description: Corporate Counsel, Commercial Contacts

Onsite: Primary locations are Nashville, TN and Fremont, CA; remote arrangements may also be considered.

We are seeking an experienced Corporate Counsel, Commercial Contracts - based in Nashville, TN, Fremont, CA or remote, to serve as a strategic legal partner to our business leadership team.

In this highly visible role, you will provide pragmatic, solutions-oriented counsel on complex commercial transactions, draft and negotiate key agreements, and help drive sound risk management across the organization.

The ideal candidate brings deep commercial contracts experience, strong executive presence, and the ability to operate as a hands-on legal generalist in a fast-paced, technology-driven environment.

PRIMARY RESPONSIBILITIES & TASKS
  • Integrating and partnering with the business unit leadership team, providing sound legal advice and risk mitigation measures to ensure successful business outcomes
  • Drafting and negotiating commercial agreements and ancillary agreements
  • Support, build positive relationships with, and provide authoritative legal guidance to the legal commercial team as well as other internal business teams.
  • Work collaboratively to identify and implement process improvements and support updates to internal playbooks and templates
  • Manage and meet internal SLAs, and help juggle priorities in a fast-moving environment
  • Own specific legal projects and develop subject matter expertise regarding legal issues faced by the customer contracts team and internal business partners
  • Reviewing solicitations, strategizing approaches for responding, drafting sections addressing particularly legal topics
  • Selecting and managing outside when needed
  • Assisting commercial contracts personnel with complex or risk-sensitive terms and conditions, such as limiting liability, indemnification, and grounds for termination.
  • Participating in and contributing to Legal Department discussions on corporate-wide topics, policies, and procedures
  • Participating in and contributing to Legal Department updates on changing laws and regulations and other continuing education
QUALIFICATIONS
  • Juris Doctorate from an accredited Law School.
  • Licensed to practice law in the United States and active membership in at least one state bar
  • Minimum of 6-8 years of legal experience; experience may include a combination of law firm and in-house legal roles.
  • Experience advising executive clients on business and transactional matters (contracts, agreements, business strategy)
  • Demonstrated leadership ability, preferably as a counsel for a business segment of a technology-driven company.
  • Ability to perform the role of hands-on legal generalist.
  • Demonstrated ability to interact effectively and collaboratively in a fast-paced and complex organizational structure
  • Strong interpersonal and communication skills
  • Ability to analyze complex issues and provide recommendations in an executive-worthy manner
  • Ability to develop strong client relationships while maintaining an independence appropriate to a compliance function
  • Strong communication skills (written and oral).

Pay is based on market location and may vary depending on factors including experience, skills, education, and other job-related reasons. For candidates located in California, the annual salary range for this position is $175,000.00 to $200,000.00. Compensation ranges for other locations, including Tennessee, may differ based on the applicable market.
