Job summary

Strategy is seeking a Corporate Counsel to join its in-house legal team in Tysons, VA, onsite 4 days a week. You will touch capital markets, financing, governance, securities compliance, and tax matters, with a strong emphasis on Strategy's bitcoin treasury strategy.

You should bring a J.D. from a U.S. accredited law school, bar admission, and 3–6 years of relevant experience, ideally with a mix of corporate and regulatory work.

Qualifications

• J.D. from a U.S. accredited law school.
• Licensed to practice law in at least one U.S. jurisdiction.
• 3–6 years of corporate experience with a national law firm and/or in-house legal department.
• Broad corporate transactional experience including capital markets/financing, M&A, and general corporate work.
• Financial regulatory or related regulatory experience (securities, banking, broker-dealer, etc.) is welcome.
• Exposure to governance matters and publicly traded companies (Sarbanes-Oxley preferred).
• Strong interest in Bitcoin and treasury strategy.

Responsibilities

• Support capital markets and financing transactions across the deal lifecycle, draft and negotiate operative documents, track obligations, advise on risks and strategy.
• Assist with corporate governance matters, board materials, minutes, and governance policies.
• Advise on securities law compliance, filings (Forms 10-K/10-Q/8-K), and investor communications.
• Draft, review, and negotiate a wide range of commercial contracts.
• Work with Finance, Treasury, and Tax on banking, investment, equity matters, intercompany agreements.
• Manage external counsel effectively and within budget.
• Support Bitcoin-related initiatives and regulatory considerations.
