Job summary

Lam Research is seeking a Corporate Counsel to join the U.S. Corporate and General Legal team in California. The role supports commercial activities, drafts and negotiates complex agreements, and provides strategic legal guidance across business units.

The successful candidate will have a J.D., 4+ years of experience, and strong contract, antitrust, and compliance knowledge, with excellent written and spoken English. Travel to domestic and international sites may be required.

Qualifications

• J.D. or equivalent from a top law school.
• Bar membership; Oregon or California bar membership preferred.
• 4+ years of experience providing legal support for a multinational company.
• Strong contracts, process experience, antitrust, and ethics and compliance knowledge.
• Demonstrated expertise drafting, reviewing and negotiating commercial contracts.
• Excellent English oral and written communication skills.

The group you'll be a part of

As a Corporate Counsel at Lam Research in the Corporate and General Legal - U.S. team, you will play a key role in supporting Lam's commercial and collaborative activities, including the sale of Lam products and services and development of technology. You will provide timely and effective legal advice to critical business function, help the company navigate complex legal landscapes effectively, mitigate risks, and support strategic business initiatives.

What you'll do

• Negotiate, prepare, and draft complex commercial agreements, including equipment sales and service agreements, joint development agreements, software licensing, confidentiality and data security agreements


• Advise business units to achieve business objectives while protecting Lam's and third parties' confidential information and intellectual property rights and ensuring compliance with laws and Lam's corporate polices


• Provide strategic and transaction support and partnership to management and operations in support of company vision and other objectives


• Contribute to and assist in developing and delivering training, communications, playbooks, contract templates, processes and procedures for providing effective and efficient legal support


• Be a trusted business partner providing timely and effective legal advice on a wide variety of corporate and commercial legal issues, including but not limited to commercial transactions, intellectual property; data security; data privacy; antitrust law; ethics and compliance; environmental, health and safety; and product safety


• Provide timely general legal support as assigned


• Monitor and communicate legal developments, follow up or escalat[e] as applicable to ensure business has process to comply; monitor, communicate, and follow up on such developments


• Partner with the wider, globally located Lam Legal team, inclusive of Legal Counsels, and specialists in Intellectual Property, Governance, Foreign Trade, and Ethics & Compliance as part of contract review and approval process


• Collaborate with stakeholders from business units on implementation and training to ensure compliance with respect to laws and regulations, contract review and approval process


• Interpret and communicate requirements to business units under identified company policies


• Domestic and international travel may be required

Who we're looking for

• J.D. or equivalent from a top law school


• Bar membership; Oregon or California bar membership preferred


• 4+ years of experience, including experience providing legal support for a multinational company


• Strong contracts, process experience, antitrust, and ethics and compliance knowledge


• Demonstrated expert knowledge and command of commercial law, with a minimum of four years practice in a US state preferably in either a law firm or in a responsible in-house position


• Demonstrated experience and strength drafting, reviewing and negotiating commercial contracts with a strong working knowledge of common contractual issues associated with commercial sales and collaboration agreements


• Strong organizational, project management, and problem-solving capabilities; ability to manage multiple simultaneous demands from multiple stakeholders under time pressure, and to re-order priorities on short notice


• Have excellent English oral and written communication skills, and the ability to discuss and explain complex technical and legal matters with legal and non-legal business partners/stakeholders


• Successfully work and manage in a highly matrixed environment


• Work independently with limited supervision


• Ability to work in a digitized environment (such as contract authoring tools, contract lifecycle management system, and etc. )


• Be creative, innovative, accessible and approachable


• Work hard and be nice while exercising influence and authority when appropriate; must play well with others. A good sense of humor will certainly help.

• Background or experience in the semiconductor equipment and/or semiconductor industry

Our hybrid roles combine the benefits of on-site collaboration with colleagues and the flexibility to work remotely and fall into two categories - On-site Flex and Virtual Flex. 'On-site Flex' you'll work 3+ days per week on-site at a Lam or customer/supplier location, with the opportunity to work remotely for the balance of the week. 'Virtual Flex' you'll work 1-2 days per week on-site at a Lam or customer/supplier location, and remotely the rest of the time.

Salary

CA San Francisco Bay Area Salary Range for this position: $140,000.00 - $259,000.00.

The above salary range for this position is relevant to applicants that reside or work onsite in the California, San Francisco Bay Area only. Salary offers will depend on factors that include the location you work from, your level, education, training, specific skills, years of experience and comparison to other employees already in this role. Actual salary may vary from salary offered due to numerous factors including but not limited to unpaid time off, unpaid leave, company mandated shutdown, and other relevant factors.
