Job summary

Hyperbolic seeks an in-house senior legal counsel to shape the commercial and legal foundation of its AI infrastructure business. You will own MSAs with neocloud providers and customers, align agreements for service levels and pricing, and guide governance and fundraising efforts.

This high-visibility role partners with founders and leadership to scale, mitigate legal risk, and forge durable partnerships in a rapidly evolving AI marketplace.

Qualifications

• J.D. and active membership in good standing in at least one U.S. state bar.
• 5+ years of relevant legal experience, including commercial technology transactions and meaningful in-house experience.
• Significant experience drafting and negotiating complex infrastructure, cloud, or enterprise customer MSAs.
• Strong understanding of committed capacity, usage-based pricing, SLAs, security obligations, indemnities, liability caps, and termination economics.
• Able to compare interconnected supplier and customer agreements, identify mismatched obligations, and develop practical risk mitigations.
• Commercial, collaborative, and comfortable making sound decisions in a fast-moving environment.

Responsibilities

• Draft, review, and negotiate MSAs with neoclouds and customers, matching terms across capacity, pricing, timeline, performance, service levels, security, liability, and termination.
• Design a wide range of innovative commercial agreements, including creative deal structures with neoclouds, channel partners, market makers, vendors, and technology providers.
• Partner with Product, Engineering, Security, Finance, and Operations to ensure contractual commitments are technically achievable and financially supportable.
• Navigate an evolving regulatory and compliance landscape, including AI sales restrictions, potential CFTC oversight, SOC 2 & GDPR requirements, and financial-services and data-privacy laws across jurisdictions.
• Lead the company’s response to disputes, litigation, and regulatory inquiries, providing clear and decisive counsel under pressure.
• Advise on corporate governance, fundraising, debt and equity financings, intellectual property protection, and other strategic corporate matters.
• Build contract templates, negotiation playbooks, approval processes, and systems for tracking contractual obligations and risk.
• Manage outside counsel and the legal budget.

About The Role

Hyperbolic is seeking a high-impact, commercially minded in-house legal counsel to help shape the legal and commercial foundation of our AI infrastructure business. This is a highly visible role working directly with our founders and leadership team on some of the company’s most important transactions. You will own the agreements through which Hyperbolic secures GPU capacity, brings strategic partners onto its platform, and serves its customers. A central part of your mandate will be aligning MSAs with neocloud providers and customers to deliver a consistently high quality of service while protecting Hyperbolic from legal, operational, and financial risk. Your work will directly influence how we scale, enter new markets, and build durable relationships across the AI infrastructure ecosystem.

• Experience supporting an early-stage company across commercial, corporate, regulatory, and product matters.
