Job summary

PEAC Solutions seeks an experienced Corporate Counsel to join our Mt. Laurel, NJ team.

You will prepare and negotiate commercial contracts, advise on corporate governance, and provide regulatory compliance guidance across our sales, marketing, operations, and finance functions. Reporting to the SVP, General Counsel & Chief Compliance Officer, you will partner with HR, tax, and compliance teams, manage outside counsel, and help steer strategic initiatives in a fast-growing equipment finance

Qualifications

• J.D. degree from an accredited U.S. institution.
• Active state bar in good standing; ability to waive into NJ in-house license.
• Minimum of 5+ years of total legal experience in commercial equipment lease financing or related field.
• Proficient with federal/state regulations applicable to equipment leasing and financing.

Responsibilities

• Prepare and negotiate commercial contracts, amendments and other legal agreements for multiple departments.
• Act as a strategic partner to drive growth while addressing regulatory, compliance and governance matters.
• Advise business teams on new products, programs and services and review day-to-day operational implications.

Seeking an experienced attorney, thisrole is a direct report operating under the direction and supervision of the SVP, General Counsel & Chief Compliance Officer of the Company.

Essential Functions:

• Prepare and negotiate commercial contracts, amendments and other legal agreements for the sales channels and all Company departments, as needed.


• Act as a strategic partner to drive growth agenda for matters involving marketing, operations, credit, finance, collections, dealer management, compliance, insurance, customer ambassadors and the customer care.


• Support and advise the business teams in building new products, programs, and services.


• Review relevant legal implication of existing day-to-day operational activities of the Company.


• Provide legal counsel in general corporate matters, corporate governance, and prospective transactions to support daily operations and minimize risk exposure to the Company.

• Prepare state renewals, annual reports, and NMLS reports.


• Contact state regulators to update Company info and resolve state level audits.


• Perform licensing and regulatory compliance research.


• Provide legal support and advice concerning regulatory and compliance matters including GLBA, UDAAP, TCPA, FDCPA, FCRA, ECOA, and other applicable statutory and regulatory requirements of the Company.

• Manage and/or prepare Company subpoena responses, discovery requests, and varied litigation work.


• Contribute to discussions and provide guidance of corporate litigation and compliance strategy with executive team.


• Collaborate with HR, tax, marketing finance, operations, and servicing on strategic planning, communication, and documentation review.


• Serve as a member of various internal committees with a focus on legal and regulatory review.


• Perform other duties as assigned.

Qualifications:

• Requires J.D degree from an accredited institution of higher learning in the United States of America.


• Member in good standing of a state bar with ability to waive into a New Jersey in-house counsel license.


• Minimum of 5+ years of total legal experience with significant experience in the commercial equipment lease financing industry.


• Demonstrated working knowledge of federal and state guidelines, rules, and regulations applicable to the equipment leasing and financing industry.

• Proficient with Microsoft products such as Outlook, Word, PowerPoint, and Excel. Also proficient in navigating NMLS and state licensing websites.


• Ability to maintain a high level of professionalism, customer service, and communication with all parties involved in the equipment leasing life cycle.

• Excellent written and verbal communication skills, using current technology, as well as outstanding interpersonal skills are required.


• Must be a self-starter with the confidence to deal effectively with a growth oriented executive management team and the ability to manage outside counsel in an effective manner.


• Must have the capacity to work in a fast-paced environment and the sensitivity to facilitate change in a positive manner, have excellent organizational and managerial skills; able to effectively delegate tasks, responsibilities and hold others accountable, executive presence in representing the company to third parties, ability to interface with board members of the Company and parent company.


• Ability to work independently, take responsibility, handle tight deadlines, and make decisions.


• Must have the ability to evaluate legal issues from a business and legal prospective and develop a process where the business unit leaders will look to the deputy general counsel as a key team member in the development of new strategies and concepts.

Additional Information:

• This is a hybrid position, based in our Mt. Laurel, NJ office, three days a week, with two days remote.
