Job summary

First Convenience Bank seeks a qualified General Counsel to lead the bank's legal strategy in Texas. You will oversee regulatory matters, contracts, and governance, providing strategic advice to management and coordinating with outside counsel.

The role requires a JD, admission to the bar, and experience with federal/state regulators, along with strong communication and teamwork. Banking operations knowledge and attention to detail are essential in this fast-paced environment.

Qualifications

  • Undergraduate degree required; JD preferred.
  • Juris Doctor (JD) degree is required or pursuing admission.
  • Successful completion of State Bar Exam.
  • Banking experience preferred.
  • Experience working with Federal and State Regulators.
  • Knowledge of banking operations, laws and regulations.
  • Ability to balance business partnerships and exercise independent judgement on sensitive issues.
  • Proficiency in Microsoft Office.
  • Good communication skills and team collaboration.
  • Detail oriented with ability to multi-task and meet deadlines.
  • Must pass background check.

Responsibilities

  • Reviews 3rd party contracts and negotiates with vendors.
  • Provides legal advice on regulatory issues and laws.
  • Oversees and provides strategic legal guidance to management.
  • Performs other assignments as directed by General Counsel.
  • Supervises preparation of responses to legal documents served on the bank.
  • Drafts, reviews and moderates due diligence with bank contracts.
  • Reviews legal bills submitted for propriety and reasonableness.
  • Coordinates relationships with outside counsel retained by the bank.
  • Coordinates internal governance policy reviews and regulatory compliance matters.
  • Assists with examination processes for applicable regulatory agencies.
  • Runs and processes department reports.
  • Maintains regular attendance and punctuality.
  • Other duties as assigned.

Job Description

  • In coordination with applicable departments, provide legal advice on regulatory issues and federal and state laws and regulations.
  • Provides oversight and strategic legal advice to management.
  • Perform other assignments as the General Counsel may direct.
  • Supervises the preparation of responses to legal documents served on the bank.
  • Drafts, reviews and moderates due diligence with bank contracts.
  • Reviews legal bills submitted to the Bank for propriety and reasonableness of legal charges.
  • Directly coordinates relationships with outside counsel retained by the Bank.
  • Responsible for providing and coordinating legal review of bank compliance related matters as needed, including vendor management, assisting in setting internal governance policies, and advising as to the impact of external factors.
  • Assist with the examination process for all applicable regulatory agencies.
  • Run and process department reports.
  • Regular and predictable attendance and punctuality
  • Other duties as assigned

Physical Requirements:

  • Must be able to remain in a sitting stationary position for extended periods of time.
  • Constantly operate a computer and other office machinery
  • Ability to lift up to 25 pounds.
