Job summary

Restaurant365 in Irvine, CA is seeking an entry-level Corporate Counsel to support a growing SaaS business. You will handle routine and emerging issues, draft and negotiate contracts, and work with the Deal Desk to streamline contracting.

You will advise on data privacy, product considerations, litigation, investigations, and compliance while partnering with leadership and outside counsel. This is a hybrid role with in-office Tuesdays and Wednesdays.

Qualifications

• /The ideal candidate will have about 1-3 years of corporate legal experience (law firm or in-house)./
• /Juris Doctor degree from ABA-accredited law school and a bachelor's degree required./
• /Licensed to practice in at least one U.S. state or D.C./

Responsibilities

• Negotiate, draft, review and advise on key company agreements including customer, vendor and partner contracts and NDAs.
• Improve contracting processes with the Deal Desk and select a contract management system; create automation in sales contracts.
• Contribute to handling data privacy and security, product considerations, litigation and disputes, internal investigations, ethics and compliance, HR/employment law, M&A diligence and integration.
• Assist Head of Legal with corporate governance, financing and equity issues; collaborate with colleagues and outside counsel.
• Research, anticipate and guard the company against emerging legal risks and act as a trusted advisor to leadership on critical legal matters.

The Corporate Counsel will report to the Head of Legal and will be the second member of the company’s legal team. We are looking for an outstanding entry-level corporate attorney to handle routine and emerging issues which arise in our company and require legal advice and counsel, as well as to contribute to the administration of our small corporate law department.

How you'll add value:

• Personally negotiate, draft, review and advise on key company agreements, including withoutlimitationcustomer, vendor and partner contracts and NDAs.
• Work with the company’s Deal Desk to improve company’s contracting processes, select acontractmanagement systemsand create automation in the sales contract process.
• Contribute to legal team’s handling of issues relating to:
• Data privacy and security
• Legal consideration of products
• Litigation and disputes

• Selects when AI adds value, double-checks its outputs, and can clearly describe their AI workflow to others.

What you'll need to be successful in this role:

• The ideal candidate will have about1-3years ofcorporatelegal experience with a law firm or in-house legal department.
• Juris Doctor Degree from ABA Accredited University andBachelorsDegree Required.
• Licensed to practice law in one of U.S. States or District of Columbia.
• Experience negotiating, drafting,reviewingand advising oncontracts.
• Possess outstanding verbal, written, and interpersonal communication skills with the proven ability to work collaboratively.
• Be proficient in AI tools and comfortable utilizing AI to maximum efficiency within the small legal team.
• Be pragmatic and have the right risk tolerance for working at a high-growth business
• Be flexible and tenacious in solving complex legal and business challenges;
• Have strong research and organizational skills, including an eye for detail, a creative mind, and the ability to shift seamlessly from task to task;
• Be able to work independently on a project basis, manage multiple priorities, and meet deadlines; and
• Be intellectually curious and motivated to learn about a wide range of topics, including general corporate matters, employment issues, vendor and customer relationships, and regulatory risk management.
• Have a bias toward action in situations where decisions need to be made with incomplete information

R365 Team Member Benefits & Compensation

• This position has a salary range of $120,000 - $140,000.
• The above range represents the expected salary range for this position. The actual salary may vary based upon several factors, including, but not limited to, relevant skills/experience, time in the role, business line, and geographic location. This role is hybrid, balancing flexibility with the value of in-person collaboration. To support connection, partnership, and team effectiveness, employees are expected to work onsite each Tuesday and Wednesday.
