Qualifications

  • Sustainability, compliance, regulatory, or employment experience preferred.
  • Proficiency with Microsoft 365, contract management systems (Agiloft), online legal research (Westlaw/Practical Law), and AI tools (Claude, Spellbook, CoCounsel).

Responsibilities

  • Negotiate and draft a broad range of contracts, including technology, software, vendor, procurement, professional services, logistics, commercial, sales, eCommerce, and marketing agreements, and their data privacy provisions.
  • Serve as the primary legal contact for assigned business units, including compliance, sustainability and SQA, HR, procurement, logistics, and the distribution center.
  • Support the General Counsel across compliance and enterprise risk management programs and related committees.
  • Advise on sustainability and SQA matters, including climate disclosures and supply chain considerations.
  • Advise on HR and employment matters, policies, onboarding, and investigations.
  • Second-chair disputes, pre-litigation matters, and regulatory investigations under guidance.
  • Develop templates, playbooks, and training for assigned areas, leveraging AI and legal tech.
  • Collaborate with ASICS Canada, Mexico, and other global teams on employment and compliance matters.

A Brief Overview

The Corporate Counsel is a generalist attorney role based in Irvine, California, reporting to the Vice President & General Counsel, ASICS North America ("ANA"). This role focuses primarily on commercial contracting, including reviewing, negotiating, and drafting technology, vendor, procurement, commercial, sales, eCommerce, and marketing agreements, along with their associated data privacy provisions. The role also serves as the primary legal contact for assigned business units, including sustainability and supplier quality assurance (SQA), HR and employment, and procurement and logistics. This role partners closely with the General Counsel on compliance program operations and enterprise risk management, with work spanning ANA and regular collaboration across global teams. The ideal candidate brings 3-7 years of commercial contracting experience, strong judgment and drafting skills, and a genuine willingness to grow into new areas of legal practice.

What You'll Do
  • Negotiate and draft a broad range of contracts, as allocated across the ANA Legal team, including technology and software, vendor, procurement, professional services, logistics, commercial, sales, eCommerce, and marketing agreements, and their associated data privacy and artificial intelligence provisions.
  • Serve as the primary legal contact for assigned business units, including compliance, sustainability and SQA, HR, procurement, logistics and the distribution center, enterprise risk management, and other business teams as assigned, providing proactive, practical advice on their day-to-day legal needs.
  • Support the General Counsel, who serves as ANA Compliance Officer and Risk Manager, across compliance and enterprise risk management programs, including the ANA Compliance Committee, code of conduct and policy development, compliance training, and intake of reported concerns.
  • Advise on sustainability and SQA matters, including climate disclosures, supply chain review, Proposition 65, greenwashing, product safety and quality, chemical compliance, and forced labor disclosures.
  • Advise on HR and employment matters, including policies, handbooks, employee privacy notices, employee relations, hiring and onboarding, and support for HR-led workplace investigations, escalating strategy, disputes, and major investigations to the General Counsel.
  • Second-chair disputes, pre-litigation matters, and regulatory or government investigations across employment, compliance, and sustainability, under the direction of the General Counsel and in coordination with outside counsel.
  • Develop templates, playbooks, and training for assigned areas, making effective and responsible use of AI and legal technology.
  • Support ASICS Canada, ASICS Mexico, ASICS Creation Center, and ASICS Institute of Sport Science America on employment and compliance matters.
  • Work across time zones with teams in Irvine, Boston, Canada, Mexico, and globally.

  • Prioritizes based on business goals and impact, manages concurrent matters so nothing is missed, and re-prioritizes as needs change.
  • Learns unfamiliar areas of law quickly enough to advise the business, knows when a question belongs with outside counsel, and shares learnings with colleagues.
  • Commercially curious about the products and customers, and about how the business competes, grows, and drives revenue. Identify what the business is trying to accomplish and solve for that result, offering a practical alternative where the request cannot be met as presented.
  • Proactively builds trust so Legal is engaged early, collaborates effectively across functions with competing priorities, and works independently with minimal supervision.
  • Improves how legal work is delivered through process, template, or technology change, applying AI-enabled tools with appropriate regard for confidentiality and governance.
  • Works effectively with a global parent organization, balancing regional and global priorities.
  • Maintains confidentiality in all matters and protects privilege in an environment where Legal and the business work closely together.
What You'll Need
  • Juris Doctorate from an accredited law school required
  • 3-7 years of legal experience in-house or with a law firm required

SALARY / PAY RANGE

$144,000-$160,000
