Job description

Position Summary

The Corporate Counsel manages and supports transactional and corporate legal matters for OmniTRAX’s various rail and real estate business units. Assists with the drafting and negotiation of agreements, reviews contract and deal terms as provided by various departments and creates template forms for legal documents – these may include contracts involving purchasing, operating and commercial activities, land services and independent contractors and joint facilities. Assists legal department staff with litigation including primary responsibility for specific claims or litigation matters. Periodic updates to OmniTRAX management and company ownership regarding legal and railroad issues. Also assists with management of corporate legal and regulatory matters. The Corporate Counsel demonstrates and adheres to the company values of safety, honesty, ownership, respect and teamwork to ensure successful partnerships with customers and employees that result in OmniTRAX’s continued success.

Essential Responsibilities
  • Assist intra-company clients: provide general contractual and transactional needs, including review and drafting of contracts and agreements for Commercial, Procurement, Engineering, Real Estate, Operations, and Human Relations departments
  • Acts as lead in managing the workflow level within contract lifecycle management tool
  • Provide legal counsel to complex commercial transactions often involving cross-functional organizational initiatives
  • Deliver legal counsel and perform due diligence reviews regarding mergers and acquisitions
  • Assist with the capture, storage, and management of executed documents within the OmniTRAX enterprise content management procedure and related databases
  • Assist with the management of external counsel
  • Assist management with employment law concerns, contracts, and policies
  • Ensure compliance with trademarks, patents, intellectual property and trade secrets, and related technical contracts
  • Create legal reports and correspondence; effectively present information to senior management
  • Respond to inquiries from regulatory agencies, customers and the business community
  • Identify and implement process improvements

Required Qualifications, Knowledge, Skills, and Abilities
  • Juris Doctorate Degree with admission to state bar
  • 6+ years experience
  • Previous experience in Rail Transportation or Supply Chain Logistics
  • Experience in transactional area, with emphasis in property and transportation related matters.
  • Excellent research and writing skills; high attention to detail
  • Work independently and prioritize work to meet deadlines and business goals.
  • Administrative and managerial skills
  • Excellent verbal and written communication skills; effectively converse with all levels of the company, customers, business associates
  • Advanced computer skills in Microsoft Office Suite
  • Professional integrity and accountability
  • Work in fast-paced, collaborative environment
Required Certifications and Licenses
  • Valid and current bar admission and license – preferred in Colorado
