Job description

Akerman LLP seeks an Associate with 3 to 4 years of securities and capital markets experience to join its Corporate Practice Group. Qualified candidates must have experience preparing and reviewing Exchange Act filings, including Forms 10-K, 10-Q, 8-K, proxy statements, and Section 16 filings; representing issuers and underwriters in equity and debt offerings, including public and private securities offerings; and counseling public companies on disclosure obligations, corporate governance, SEC reporting, stock exchange compliance, and related securities law matters. The ideal candidate will also have experience advising boards of directors and management teams on governance and disclosure issues, preparing registration statements and SEC comment letter responses, and supporting public company transactions, including mergers and acquisitions, tender offers, strategic investments, and other complex corporate transactions. Additional experience with capital markets transactions, joint ventures, private equity investments, and general corporate matters is a plus. Candidates should possess strong drafting, analytical, and communication skills, with the ability to manage multiple transactions and ongoing compliance matters in a fast‑paced environment. This position can be located in the Firm’s Ft. Lauderdale, Miami, New York, or Washington, D.C. offices. Candidates must possess a Juris Doctor degree from an ABA‑accredited law school, and bar admission (or eligibility to obtain admission promptly) in the jurisdiction of the resident office location. Remote and hybrid work arrangements are available.

Annual base salary: $240,000 - $275,000. (Akerman LLP is not a lock‑step firm. The exact amount of salary for this position is dependent on a variety of factors). In addition to base salary, Akerman offers an annual discretionary bonus, paid time off, professional and client development allowance, medical insurance, dental insurance, vision insurance, life insurance, disability insurance, 401(k) Profit Sharing Plan (employee‑only contribution plan), and a pre‑tax transit or parking benefit (depending on location)).
