Job summary

Entrust is seeking a Corporate Attorney to join our Identity Security legal team in a hybrid role based out of Shakopee, MN. The attorney will support the Americas Sales team, negotiate complex partner agreements including OEM arrangements, and provide strategic legal guidance across business units.

Qualified candidates will hold a JD, have at least five years of post-qualification experience (two in-house), and possess US work authorization with strong English communication and business acumen.

• JD from an accredited law school.
• Active license to practice law in at least one state.
• Minimum five years’ post-qualification experience.
• At least 2 years in an in-house corporate environment.
• US work authorization required.
• Fluency in English (written and spoken).

Responsibilities

• Draft, review and negotiate a wide variety of commercial contracts, including software and cloud/managed services agreements.
• Support strategic partnerships and go-to-market models, including negotiations with system integrators and MSPs.
• Provide legal guidance on digital regulatory, compliance and ad-hoc matters.
• Lead priority legal projects and collaborate with cross-functional teams.
• Develop a deep understanding of the company’s products and business practices.

Entrust is looking for an experienced and dynamic Corporate Attorney to join our customer-focused Identity Security legal. Not only will this role be pivotal in supporting the Americas Sales team for our Identity Security segment, a key focus of the role will also be advising on and negotiating complex strategic partner agreements, such as OEM agreements and other non‑standard commercial agreements. This will be a hybrid role based out of Entrust’s Shakopee, MN, headquarters, where the hiring manager and some key cross‑functional stakeholders are based, and will work closely with some of our legal team members based out of our London office.

Responsibilities

• Draft, review and negotiate a wide variety of commercial contracts in support of Entrust’s Identity Security segment in the Americas, including software and cloud-based agreements, professional services agreements, data protection agreements and other technology related agreements;
• Support strategic partnerships and go-to-market models, including negotiations with system integrators, managed service providers, and other commercially significant partnerships;
• Provide legal support and guidance to the global organization on a broad range of digital regulatory, compliance and ad‑hoc matters as required;
• Lead legal team priority projects as may be assigned from time to time while effectively collaborating with other business and legal colleagues;
• Work collaboratively across legal, sales, product, finance, procurement, compliance, information security, and other teams to coordinate resources and resolve issues in complex negotiations;
• Develop a comprehensive understanding of the company’s business, products, and business practices in order to best serve the business;

Qualifications

Basic Qualifications

• Professional Background: JD from an accredited law school. Must be authorized and licensed to practice law in at least one state.
• Experience: Minimum five years’ of relevant post qualified experience, with at least 2 years in an in-house corporate environment.
• Work Authorization: Must be able to lawfully work within the US and have unrestricted work authorization for US.
• Language Skills: Fluency in English (written and spoken) is required.

• Commercial Acumen: Proven experience in interpreting, drafting and negotiating complex software and cloud/managed services technology agreements, including complex partnership agreements, for varied go-to-market models across multiple jurisdictions throughout the Americas.
• Communication: Exceptional communication and organizational skills, with the ability to think strategically and give practical and business-oriented advice.
• Time Management: Superior prioritization skills to efficiently manage a large volume and variety of commercial transactions in a fast‑paced global environment.
• Flexibility: Approachable, adaptable and comfortable dealing with uncertain and ambiguous situations, with a creative problem‑solving mindset and ability to work with cross‑functional teams.
• Agile: Experience or interest in working for a fast moving, complex, technology company.

Compensation Range

The anticipated starting base pay for this position is: $149,969-$219,955 per year (in the primary posting location). Actual compensation will be determined based on geographic location, education, skills and experience. This position is also eligible for the company’s discretionary annual incentive plan. In addition to your pay, Entrust offers eligible colleagues and their dependents comprehensive health and well‑being programs which include medical, vision, dental, a generous 401(k) matching contribution, life and disability insurance, mental health coaching, virtual fitness programs, paid personal time off plus 12 paid holidays, parental leave and education reimbursement.
