Job summary

Miner Enterprises, Inc. in Geneva, Illinois seeks an experienced Corporate Counsel to guide the business on patent and IP strategy, contract negotiations and strategic acquisitions.

The attorney will partner with engineering, product and finance teams, defend patent positions, and provide business-focused legal advice across the Miner umbrella.

Qualifications

• BSME degree and JD from an accredited law school; state bar admission
• Minimum 10 years of experience drafting, submitting and defending patent applications
• Strong legal, analytical, communication, collaboration and people skills
• Ability to provide clear, business-focused legal advice for internal stakeholders

Miner Enterprises, Inc., located in Geneva, Illinois, is looking for an experienced attorney to join our team. We are a multi-faceted manufacturing company with businesses in various industries. Miner takes pride in our longevity in business, the relationships we build and maintain as well as our reputation for producing highly engineered, quality products.

Our Corporate Counsel will serve as a key legal advisor to the businesses under the Miner Enterprises umbrella of companies while owning the patent and intellectual properties part of our businesses. Additionally, we are looking for a pragmatic leader who can balance risk with business needs.

Responsibilities

Patent & Intellectual Property

• Working collaboratively with engineering on new products, designs or prototypes and have a full working knowledge of the products to assess patentability.
• Collaborating with engineering on product positioning related to current patent.
• Drafting patent application, patent application defense and possible prosecution. This includes working with outside international firms to determine effects in their markets.
• Conduct strategic due diligence on patent portfolios.
• Ability to travel to defend patent applications and provide clarification with appropriate parties to achieve desired results.
• Tracking renewal on current Patent/IP related issues.

Commercial Contracts & Negotiations

• Review, draft and negotiate a wide range of commercial agreements, including purchase agreements, supplier agreements and business partner agreements.
• Identify and communicate contractual, legal and business risks to internal stakeholders while providing practical, solution-oriented guidance.
• Participate in and lead negotiations with internal stakeholders while balancing risk with relationships and objectives.

Acquisitions, Partnerships & Related Opportunities

• Provide legal guidance on possible acquisitions or partnerships.
• Review legal documents and understanding patent, trademark and licensing concerns.
• Communicate information to internal stakeholders.

Other Areas

• Property easement and related issues to owned land.
• Coordination with outside, specialized, legal counsel on matters as needed.
• Review of rental agreements or other legal agreements not directly related to the above.
• Environmental related matters that may arise.

Required Experience

• BSME degree and JD degree from an accredited law school, state bar admission enabling in-house practice and registration to practice before the USPTO.
• Prior experience drafting, submitting and defending patent applications for highly engineered products. Minimum 10 years of experience.
• Strong legal, analytical, communication, collaboration and people skills.
• Strong judgement and problem-solving skills.
• Ability to provide clear, business-focused legal advice for internal stakeholders.

NOTE: Salary range will be based upon requisite experience but will be within a market range. This position is a full-time position but if you are a candidate who is looking for a position like this that would be less than full-time, we can consider that as well. This could possibly adjust the salary in some way.
