Job summary

Offit Kurman is seeking a Corporate Attorney with 3–7 years of experience to join our growing Business Law & Transactions practice in Charlotte, NC. You will work on sophisticated transactions while advising privately held companies and business owners.

The ideal candidate will have a strong corporate background and the ability to manage transactions from structuring through closing, with direct client interaction and opportunity for long-term growth within a collaborative firm.

Qualifications

• 3–7 years of relevant corporate/transactional experience.
• Meaningful experience with M&A and general corporate matters.
• Strong drafting, negotiation, and analytical skills.
• Experience working directly with private-company clients preferred.
• Excellent communication and client-service skills.

Responsibilities

• Represent clients in buy-side and sell-side M&A transactions
• Advise clients on equity and debt financings and other corporate transactions
• Draft, review, and negotiate purchase agreements, contracts, and related transaction documents
• Counsel early-stage and growth companies on entity formation, funding strategies, corporate governance, and commercial agreements
• Advise closely held businesses on general corporate and day-to-day business matters
• Serve as outside general counsel to private companies across a variety of industries
• Manage transactions from initial structuring and due diligence through closing
• Work directly with business owners, executives, and other key stakeholders

The ideal candidate will have a strong corporate and transactional background with experience advising privately held companies and business owners on a broad range of matters.
