Job summary

Jobot in San Diego is seeking a Licensing Associate to join our Life Sciences and Technology Transactions practice. The role requires a JD/LLM and 3+ years drafting and negotiating commercial agreements for life sciences or technology clients.

The successful candidate will collaborate with in-house teams, scientists, and executives to draft, review, and negotiate a broad range of agreements, ensuring compliance and strategic alignment with business objectives.

Qualifications

• 3+ years of experience drafting and negotiating commercial agreements for life sciences and/or technology clients within a law firm environment
• Strong understanding of intellectual property law, including patents, trademarks, copyrights, and trade secrets
• Experience with software licensing, SaaS agreements, and technology transactions is preferred
• Familiarity with data privacy considerations in commercial agreements and an understanding of emerging AI-related issues
• Admitted to practice, or eligible for admission, in California or Massachusetts

Responsibilities

• Drafting, reviewing, and negotiating a wide variety of commercial agreements, including? research and development agreements, clinical trial agreements, manufacturing and supply agreements, services agreements, patent license agreements and assignments, NDAs, MTAs, distribution agreements, collaboration and strategic alliance agreements, development and commercialization agreements
• Advising clients on contract interpretation, risk assessment, and regulatory compliance matters
• Supporting strategic and corporate transactions through diligence and contract review
• Reviewing intellectual property assets and related contractual obligations
• Managing high-volume commercial contracting matters, including confidentiality agreements, customer agreements, and standard terms and conditions
• Collaborating with cross-functional stakeholders to align legal strategies with business objectives
• Monitoring legal, regulatory, and industry developments impacting life sciences and technology transactions

Roles & Responsibilities

The successful candidate will work closely with business teams, in-house counsel, scientists, and executives on a broad range of commercial and strategic transactions. Responsibilities include:

• Drafting, reviewing, and negotiating a wide variety of commercial agreements, including:
• Research and development agreements
• Clinical trial agreements
• Manufacturing and supply agreements
• Services agreements
• Patent license agreements and assignments
• Nondisclosure agreements (NDAs)
• Material transfer agreements (MTAs)
• Distribution agreements
• Collaboration and strategic alliance agreements
• Development and commercialization agreements
• Advising clients on contract interpretation, risk assessment, and regulatory compliance matters
• Supporting strategic and corporate transactions through diligence and contract review
• Reviewing intellectual property assets and related contractual obligations

Qualifications

• Educational background in biology, immunology, biochemistry, or a related scientific discipline preferred
• Strong understanding of intellectual property law, including patents, trademarks, copyrights, and trade secrets
• Experience with software licensing, SaaS agreements, and technology transactions is preferred
• Familiarity with data privacy considerations in commercial agreements and an understanding of emerging AI-related issues
• Experience representing clients in one or more of the following sectors:
• Biotechnology
• Pharmaceuticals
• Digital health
• Life sciences
