Position Overview
We are an Am Law 200 firm seeking a detail-oriented and motivated Corporate Associate Attorney to join our team in Buffalo, NY. The ideal candidate will assist with various corporate matters, including transactions, mergers and acquisitions, and contract negotiations, while providing high-quality legal support to our clients in a dynamic business environment. Key Responsibilities
  • Assist in the preparation and negotiation of contracts and commercial agreements.
  • Support the legal team in mergers and acquisitions, including due diligence and transaction structuring.
  • Draft and review shareholder agreements, operating agreements, and finance agreements.
  • Provide legal advice on business formation and corporate governance matters.
  • Conduct legal research and analysis to support corporate initiatives and compliance.
  • Collaborate with clients and internal stakeholders to identify and mitigate legal risks.
Qualifications
  • Juris Doctor (JD)
  • Admitted to practice law in the state of NY
  • 2+ years of experience in corporate law, with a focus on transactions and commercial agreements.
  • Strong understanding of mergers and acquisitions, corporate governance, and business formation.
  • Excellent written and verbal communication skills.
  • Ability to work independently and collaboratively in a team-oriented environment.
