Job Title: Corporate Associate

Location: Boston, MA

Salary Rate: $130,000 - $200,000

My client is a well-respected firm in Boston, MA . We are seeking an attorney with experience in corporate transactions to join our team. The ideal candidate would have 3+ years of experience with due diligence, corporate contracts, mergers & acquisitions, and other related areas. If that sounds like you, please apply!

What You Will Do

  • Transaction Structuring: Advise clients on the legal aspects of structuring business transactions to achieve strategic objectives.
  • Due Diligence: Conduct thorough due diligence to identify potential legal risks and liabilities in transactions.
  • Contract Drafting & Negotiation: Draft, review, and negotiate a wide range of corporate agreements, including purchase agreements, shareholder agreements, and financing documents.
  • Regulatory Compliance: Ensure transactions comply with relevant laws and regulations; obtain necessary approvals from regulatory bodies.
  • Client Advisory: Provide strategic legal advice to clients on corporate governance, securities law, and other related matters.
  • Post-Transaction Integration: Assist clients in integrating acquired businesses and restructuring operations post-transaction.

Skills Required

  • Strong understanding of corporate law, including securities regulations, antitrust laws, and corporate governance principles.
  • Exceptional ability to negotiate terms and resolve issues to facilitate successful transactions.
  • Ability to assess complex legal documents and identify potential risks and opportunities.
  • Skilled in managing multiple transactions simultaneously, ensuring timely and efficient execution.
  • Excellent interpersonal and communication skills to interact with clients, opposing counsel, and regulatory authorities.
