• 1–5 years of law firm experience in corporate transactional work.
• Experience with M&A, venture financings, emerging companies, and general corporate matters.
• Strong drafting, negotiation, analytical, and organizational skills.
• Ability to manage multiple matters and workstreams in a fast-paced, team-oriented environment.
• J.D. from an accredited law school and admission, or eligibility for admission, in the state where the position is based.

Responsibilities

• Middle-market M&A, including platform acquisitions, sale processes, add-on acquisitions, joint ventures, and other strategic transactions.
• Venture financings, including seed, Series A, and later-stage equity financings.
• Corporate governance and counseling for private companies, boards, and private equity portfolio companies.
• Entity formation and day-to-day legal matters for emerging growth companies and founders.
• Transaction structuring, due diligence, negotiations, and closings.
• Drafting and negotiating purchase agreements, financing documents, governance materials, disclosure schedules, ancillary agreements, and closing documentation.
• Managing due diligence workstreams and coordinating deal timelines and deliverables.
• Collaboration with attorneys across technology transactions, tax, employee benefits, employment, intellectual property, privacy and security, environmental, and real estate.

The annual salary range is $215,000–$290,000, with actual pay adjusted based on education, training, experience, and other job-related factors permitted by law.
