An international law firm is seeking a Corporate Associate in New York to join its Emerging Companies and Venture Capital practice. The role focuses on venture capital financings, corporate governance, M&A, and advising founders, investors, and growth companies throughout the lifecycle.

The ideal candidate has 4-6 years of significant corporate transactional experience with a strong VC focus and bar admission in the applicable jurisdiction.

Qualifications

• 4-6 years of corporate transactional experience with a focus on emerging companies and venture capital.
• Experience representing emerging companies and investors in venture capital financings and related matters.
• Experience drafting and negotiating preferred stock financings, convertible securities, and investment agreements.
• Strong understanding of corporate governance, equity compensation, capitalization structures, and M&A transactions.
• Active Bar admission in the applicable jurisdiction.

Responsibilities

• Represent emerging companies, founders, venture capital investors, and growth-stage businesses in corporate and financing transactions.
• Draft and negotiate preferred stock financing documents, convertible instruments, and related investment agreements.
• Manage venture capital financings and other corporate transactions from structuring through closing.
• Coordinate due diligence with IP, regulatory, commercial, and operational teams.

The role offers the opportunity to represent emerging companies, founders, investors, and consumer-focused businesses on sophisticated venture capital financings, corporate governance, M&A transactions and other strategic matters throughout the company lifecycle.

Key Responsibilities

• Represent emerging companies, founders, venture capital investors, and growth-stage businesses in corporate and financing transactions.
• Draft and negotiate preferred stock financing documents, convertible instruments, and related investment agreements.
• Manage venture capital financings and other corporate transactions from initial structuring through closing.
• Conduct and coordinate due diligence, working closely with specialists on intellectual property, regulatory, commercial, and operational matters.

Qualifications

• 4-6 years of significant corporate transactional experience, with a strong focus on emerging companies and venture capital.
• Substantial experience representing emerging companies and investors in venture capital financings and related corporate matters.
• Experience drafting and negotiating preferred stock financings, convertible securities, and investment agreements.
• Strong understanding of corporate governance, equity compensation, capitalization structures, and M&A transactions.

Compensation

Base Salary: $310,000-$390,000 annually, depending on experience, qualifications, and other job-related factors.
