Job summary

Qualifications

• 4-6 years of Private Equity and M&A experience at a law firm.
• Experience managing significant transaction work streams from inception through closing.
• Experience advising private equity sponsors and/or strategic buyers and sellers preferred.
• Ability to manage multiple complex transactions and meet aggressive deadlines.
• Active membership in the Florida Bar required.

Responsibilities

• Draft, review, and negotiate acquisition agreements, equity documents, ancillary agreements, and other principal transaction documents.
• Manage due diligence processes, identify and elevate potential risks, and incorporate findings into transaction documents and deal planning.
• Advise on portfolio company matters, including add-on acquisitions, dispositions, financings, and general corporate matters.
• Collaborate with specialists across finance, tax, benefits, real estate, intellectual property, and litigation.
• Coordinate multiple transaction work streams and manage competing priorities in a fast-paced environment.
• Supervise and mentor junior associates, delegate assignments and provide constructive feedback.

A leading global law firm is seeking a Corporate Associate to join its sophisticated Private Equity and M&A practice in Miami. The role offers exposure to complex private equity transactions, meaningful ownership of deal work streams, direct client interaction, and responsibility throughout the transaction lifecycle from deal inception through closing.

Key Responsibilities

• Draft, review, and negotiate acquisition agreements, equity documents, ancillary agreements, and other principal transaction documents.
• Manage due diligence processes, identify and elevate potential risks, and incorporate findings into transaction documents and deal planning.

Compensation: $235,000-$455,000 annually, depending on associate class year, plus applicable benefits and other compensation opportunities.
