Qualifications

• J.D. from an accredited law school with strong academic credentials.
• Licensed and in good standing in Florida, or eligible for admission.
• 1-3 years of corporate transactional experience, including M&A and general corporate matters.
• Experience drafting and negotiating transaction documents and conducting due diligence.
• Strong analytical, drafting, communication, and organizational skills.

Responsibilities

• Assist with mergers, acquisitions, divestitures, financings, and other corporate transactions.
• Conduct legal due diligence and prepare diligence summaries.
• Draft, review, and negotiate transaction documents, including purchase agreements, operating agreements, and ancillary deal documents.
• Manage transactions from inception through closing.
• Advise clients on corporate governance, entity formation, and general business matters.
• Collaborate with clients, opposing counsel, and other advisors throughout the deal process.
