Job summary

Permanent Placements LLC is recruiting a mid- to senior-level Corporate & Securities Associate (4th–7th year) for a national law firm platform. The role involves advising on sophisticated capital markets transactions, including IPOs, debt offerings, and private placements, across multiple offices.

The ideal attorney will handle public and private financing, work with issuers and underwriters, and contribute to cross-functional teams on strategic deals.

Qualifications

  • J.D. required with admission to the bar in the intended practice jurisdiction.
  • 4–7 years of corporate & securities experience is preferred.
  • Experience handling capital markets transactions including IPOs and public securities offerings.
  • Experience with private placements, debt and structured finance.
  • Strong academic credentials and excellent research, drafting, and analytical skills.

Responsibilities

  • Advise clients on capital markets and securities transactions.
  • Represent issuers, underwriters, investors, and market participants in offerings and financing.
  • Draft and negotiate offering documents and transaction agreements.
  • Conduct due diligence and manage transaction workstreams.
  • Coordinate with tax, finance, regulatory and other specialists.
  • Work with clients on strategic capital-raising initiatives and corporate transactions.
  • Manage multiple sophisticated matters in a fast-paced environment.

Job description

Our client, a nationally recognized law firm, is seeking a mid- to senior-level Corporate & Securities Associate (4th-7th year) to join its Corporate Practice. This opportunity is available in multiple office locations across the firm's national platform.

This is an excellent opportunity for an attorney with significant capital markets and securities experience who is looking to work on sophisticated public and private financing transactions while advising emerging growth companies, public corporations, financial institutions, and other market participants.

Responsibilities
  • Advise clients on a broad range of capital markets and securities transactions
  • Represent issuers, underwriters, investors, and other market participants in:
  • Initial Public Offerings (IPOs)
  • Secondary offerings
  • Private placements
  • Debt offerings
  • Bond issuances
  • Securitization transactions
  • Assist clients with securities law compliance and public company reporting obligations
  • Draft and negotiate offering documents and transaction agreements
  • Conduct due diligence and manage transaction workstreams
  • Coordinate with specialists across tax, finance, regulatory, and other practice areas
  • Work directly with clients on strategic capital-raising initiatives and corporate transactions
  • Manage multiple sophisticated matters in a fast-paced environment
Qualifications

  • Approximately 4-7 years of corporate and securities experience
