Job summary

BCG Attorney Search seeks an experienced Corporate and Securities Counsel to join its Winston-Salem, NC office. The role focuses on complex securities, corporate governance, capital markets, and regulatory matters for Nasdaq/NYSE-listed clients with a reduced billable-hour requirement.

The ideal candidate has 8+ years of corporate and securities experience, and a JD from an accredited law school. You will provide high-quality legal counsel and client service in a dynamic team environment.

Qualifications

• 8+ years of corporate and securities experience.
• Experience at a large regional or national law firm, in-house legal department, or the SEC preferred.
• Substantial experience advising public companies on securities matters.
• Excellent academic credentials and strong analytical abilities.
• Outstanding written and oral communication skills.
• Licensed to practice law in the relevant jurisdiction or eligible for licensing.
• Juris Doctor (JD) degree required.

Responsibilities

• Advise public companies on Securities Act of 1933 and Securities Exchange Act of 1934 matters.
• Handle securities offerings and capital markets transactions.
• Manage periodic reporting on Forms 10-K, 10-Q, and 8-K.
• Oversee proxy statements and annual shareholder meeting matters.
• Ensure compliance with Section 16 reporting and beneficial ownership.
• Provide corporate governance and board advisory services.
